The Tussle between Kwak Ro-Hyun and Park, Myoung-Ki, two candidates in the election for superintendent of the year 2010 in Seoul, is analyzed by how two different logics of appropriateness control the interactive disintegration of social construction. The analysis is based on data that exist with paradoxes, such as news from mainstream media; broadcasting editorials and articles about and interviews with Kwak and Park by main press outlets; a letter Park wrote while in prison; and numerous précis shown on the Internet with various sensemaking phenomena that constantly form, change, and break down. The results of this analysis indicate that it would be worthwhile to further pursue the role of micro-macro linkages in institutional dynamics by examining how organizational dynamics interact in institutional processes. On a larger scale, the sensemaking systems are homogeneous, while on a smaller scale, they are heterogeneous. The arguments between Kwak and Park are extreme examples of this. In terms of their presentations of internal desires, formed from their past socialization processes, the two candidates appear identical.

본 논문은 우리의 경제가 지식기반산업경제로 급격히 전환되면서 기업의 가치가 물적 자본이나 시설에 의해 평가 되던 고전적인 관념에서 벗어나 무형의 인적자산을 중시하는 기업유형의 창출 및 착근방법을 제시하는 데에 목적이 있다. 현행법상 기업에 관한 규제 법률들은 기업의 설립과 운영 및 기업의 해체에 있어서 지나치게 경직적인 강행법규 일변도여서 중소 벤처기업이나 조인트 벤처와 같은 사업 부분에서의 유연한 설계를 어렵게 한다. 세계경제가 지산산업사회라고 하는 새로운 산업패러다임을 맞으면서 선진 외국에서는 다양한 기업유행을 새롭게 탄생･발전시켜왔는데, 대표적인 것이 미국의 LLC와 LLP이다. 새로운 기업유형의 특징은 설립이 간편함은 물론 그 운영과정에서 기관설치가 강제되지 않으며, 이익의 분배에 있어서도 소위 정관자치를 통해 탄력적인 대처가 가능하고 과세면에서도 이중과세를 피할 수 있어서 중소 벤처기업이 안고 있는 고민을 해결해 주고 있다. 이들 선진국의 기업유형을 모델로 우리나라에서도 상법개정을 통해 유한책임회사(LLC)와 합자조합(LP)을 도입하기로 하였으나 유한책임회사에 대한 ‘출자’에 있어서 노무출자를 금지함으로써 인적자산을 기업과 결합하는 데에 장애가 되고 있으며, 기업에 대한 과세에 있어서 법인세가 부과될 수밖에 없어서 이중과세문제를 해결하지 못하고 있고, 합자조합의 경우에도 노무출자의 가능여부가 불분명함은 물론 유한책임조합원은 업무집행에 관여할 수 없게 함으로써 현행 합자회사와 다를 바 없는데, 이는 미국법상의 LLP가 아닌 LP를 도입한 결과이다. 따라서 본고에서는 상법개정안 상의 위 제도들이 진정으로 지식기반산업사회에서의 기업유형으로 올바르게 정착할 수 있는 몇 가지 대안을 제시하고자 한다.

This paper presents legitimating policy proposals for new type of corporation, under knowledge-based industrial paradigm, mainly depending on invisible human asset unlike tangible capital asset based. Too much strict and rigid a current commercial law against the the process of firm's establishment, operation, closing cannot be flexibly applicable to high-tech small and medium firms and joint venture corporation.As alternative, this paper benchmarks LLC and LLP type of US, for high-tech small and medium firms and joint venture corporation as including diverse merits such as easy and handy establishment and operation of firm, no board enforcement, flexible profit sharing stick to the article, avoiding double taxation. Recently, Korean legislature introduce and legitimate LLC and LP through reforming commercial law. However, a reformed commercial laws has not been fully introduced these laws not only as leaving problems such as prohibition of labor investment and imposing corporate tax, but also, prohibition of limited partner's management participation. This paper presents a policy proposal of overcoming these shortages of reformed commercial law.

본 연구는 블루 스틸(Blue Steel)이란 할리우드 영화의 분석을 통해 여성 정체성의 표상화가 영화 내에서 어떻게 이루어지는 지를 살펴보는 것을 목적으로 한다. 영화는 캐슬린 비글로우(Kathryn Bigelow)라는 여성 감독이 1990년에 만든 범죄영화(Crime Movie)로서 가부장적 질서에 도전적 욕망을 가진 여자 주인공을 중심으로 이야기를 꾸려가고 있다. 비글로우 감독이 할리우드 내 범죄영화 장르에서 활동하는 유일한 여성 연출가임을 주목하면서 본 연구는 여성이 만든 영화에서, 가부장적 억압에 거부의 태도를 명확히 보이는 주인공을 중심인물로 설정한 서술구조에서 여성 정체성의 표상화가 어떻게 구현되고 있는 지를 고찰하고자 한다. 영화의 분석 방법은 그레마스가 제시한 행위자 모델과 기호학적 사각형 모델을 중심으로 이루어지며, 이를 통해 서술구조에 내재된 의미들을 파악하고자 한다.

This paper tries to examine the representation of female identity by analyzing a Hollywood movie, Blue Steel (1990). The purpose of this paper is to figure out how this film constitutes female identities by employing the insubordinate desire to overcome the given female identity in a patriarchal society. Situating a female cop named Megan Turner (Jamie Lee Curtis) at the center of the narrative, Blue Steel illustrates how she finally becomes a victim in the patriarchal social system. The film depicts contradictory perceptions regarding female identity in a relation with the male gaze. On the one hand, Blue Steel seems to challenge the totalizing male gaze by representing a female cop as the person who attempts to overcome female identity constructed by the patriarchal system. On the other hand, it seems to legitimate this male gaze by providing an exotic pleasure that violent visuality and sexual objectification generate. Because of these two contradictory images, Blue Steel may be considered no more than a movie that places a woman at the center of the crime story. It may be especially significant to examine the representation of female identity in this movie, because this movie was directed by a woman, Kathlyn Bigelow, who has been evaluated as one of the most striking crime and action cinema directors and may be the only female filmmaker working in that genre today.
