The Research on the Five-Year Subscription Period Limitation for Registered Capital under the New Company Law
Article 47 of the Company Law of the People’s Republic of China, as amended in 2023, establishes a mandatory five-year contribution period for the registered capital of limited liability companies, replacing the previously permissive self-determined contribution schedule. This legislative shift marks a historic transition in China’s corporate capital regime from a loosely regulated subscription system to a time-constrained one. Grounded in the principle of capital adequacy, the five-year contribution periodreconstructs the framework of shareholders’ capital contribution obligations through temporal constraints, carrying significant implications for creditor protection and business environment optimization. Nevertheless, the uniform five-year period exhibits structural limitations in accommodating industry-specific and enterprise-scale variations; the absence of differentiated contribution period rules renders the statutory authorization clause largely nominal; the ambiguous standards for recognizing exceptional circumstances and the undefined boundaries of judicial discretion generate considerable uncertainty in normative application; and the procedural gaps in transitional arrangements, combined with fragmented supervisory mechanisms, further undermine the effective realization of the system’s objectives. Taking Article 47 of the new Company Law as the central object of analysis, this paper employs normative, historical, and comparative legal methodologies to systematically examine the theoretical foundations, institutional operation, and practical limitations of the five-year contribution period regime. Drawing on a comparative analysis of corporate capital systems in China and South Korea, the paper advances concrete proposals for improvement, including theintroduction of a flexible adjustment mechanism, the construction of a differentiated contribution period framework, the refinement of criteria for exceptional circumstances, and the strengthening of transitional supervisory mechanisms, with a view to achieving an institutional equilibrium between the principle of capital adequacy and the facilitation of entrepreneurship.
