A Comparative Legal Study of Administrative Sanctions on Individual Certified Public Accountants - With a Focus on Proportionality and the Principle of Culpability -
The strengthening of administrative sanctions on auditors has largely been discussed with organizations in mind. Yet a sanction on an individual, unlike sanctions on an audit firm, which mainly impose pecuniary or business-related disadvantages, directly restricts the freedom to practice a profession and therefore calls for a distinct normative examination. This study takes two principles as its yardstick: proportionality, which demands control commensurate with the severity of the infringement, and the principle of culpability, under which each person answers only within the scope of the role actually undertaken. Sanctions and disciplinary measures against individual certified public accountants are divided among direct measures and recommendations by the Securities and Futures Commission under the External Audit Act, disciplinary dispositions by the Financial Services Commission under the Certified Public Accountant Act, and delegated or autonomous discipline by the Korean Institute of Certified Public Accountants. Article 29(4) of the External Audit Act authorizes the Securities and Futures Commission to impose restrictions on audit work, warnings, and cautions directly, while cancellation of registration and suspension of duties require a recommendation to, and a final disposition by, the Financial Services Commission. Although the final disposition is subject to judicial review, the recommendation stage—where the findings of violation and allocation of individual responsibility are substantially developed—is generally not independently challengeable as a disposition. Reform should therefore ensure that the grounds developed at that stage are stated in the final disposition and are amenable to meaningful judicial review. The legal basis for role-specific sanctions should be clarified, responsibility should be assessed by reference to each individual’s role, conduct, and capacity for control, and published aggravating and mitigating factors, opportunities to be heard, and reason-giving should be strengthened. Examined against the four issues into which these problems condense, a comparison with the United States, the United Kingdom, Germany and Japan suggests not that the Korean structure is wholly exceptional, but that the disclosure of the grounds of judgment and the individualized allocation of responsibility in grave sanctions need strengthening; the four jurisdictions also share a tendency to extend procedural requirements into self-regulatory discipline. This study accordingly proposes procedural defense rights at the stage where the substantive judgment is formed; a separation of the grounds of culpability between the individual and the firm, together with the refinement of assessment standards so that each person’s sanction starts from the work actually performed rather than being subtracted from that assigned to the engagement partner; a reconsideration of the present design, which treats a failed engagement quality review solely as a defect in the firm’s system of quality management; and the application of these measures to both the governmental and self-regulatory tracks. Expanding the personal scope without a corresponding allocation of responsibility by role is inconsistent with the principle of culpability.
