The purpose of this study is to empirically investigate the impact of the enforcement of the Serious Accidents Punishment Act on the cash holding policies of unlisted firms, and to examine how this effect differs depending on external audit quality. Targeting a sample of 48,648 firm-year observations of unlisted firms from 2020 to 2023, a difference-in-differences (DID) model was applied to analyze changes in the cash holding ratio. Firms with 50 or more full-time employees, which were subject to the act upon its initial enforcement in 2022, were set as the treatment group, while firms with fewer than 50 employees, which were granted a grace period, were set as the control group. Furthermore, the effect of external audit quality was verified through an additional model reflecting whether the firm was audited by a Big 4 accounting firm. The analysis results show that following the enforcement of the Serious Accidents Punishment Act, the cash holding ratio of the applicable unlisted firms increased significantly compared to the control group. This is interpreted as a result of an expanded precautionary demand for liquidity, as the strengthened liability of business owners and management personnel and the possibility of punitive damages heightened the firms' legal and operational risks, as well as financing uncertainty. On the other hand, this increase was significantly mitigated in firms audited by Big 4 accounting firms. This suggests that high-quality external audits function as a buffer that lowers the incentive for excessive cash retention following a regulatory shock by improving the reliability and information transparency of financial reporting and alleviating information asymmetry and financing constraints. Therefore, non-financial safety regulations such as the Serious Accidents Punishment Act have a substantial impact on corporate liquidity management and the allocation of available resources. Policymakers need to design an institutional foundation that supports corporate financial soundness and disclosure transparency in parallel with securing the effectiveness of safety regulations.
