The present study explores an underexplored case where leaders from acquired firms can play a pivotal role for the success of post-merger integration. With the recent case of Korean branch of one NYSE-listed life science technology company (acquiring firm) that had acquired four different target firms (acquired firms), we investigate whether acquired leaders who deeply internalize an acquirer’s core ethical value would exercise high quality ethical leadership. Based on grounded theory, we designed a sample-specific way of measuring of acquired leaders’ degree of value internalization and their ethical leadership quality. Using a mixed method (both qualitative and quantitative), we developed the hypotheses and found that acquired leaders who take an acquirer’s core ethical value seriously at their hearts (i.e., high internalization) are more likely to show strong ethical leadership than leaders who treat it just at their heads (i.e., low internalization), and value internalization interacts with their personal moral development to affect ethical leadership. The present study implies that a part of success of post-merger integration may depend upon how much acquired leaders put an acquiring company’s core values truly in their deep minds.

본 연구는 피인수 기업의 리더가 인수 후 통합(post-merger integration) 성공에 핵심적인 역할을 수행할 수 있음에도 불구하고, 선행연구에서 충분히 탐구되지 않았음에 착안하였다. 뉴욕증권거래소(NYSE)에 상장된 한 생명과학기술기업의 한국 법인이 네 개의 피인수 기업을 인수한 최근 사례를 바탕으로, 인수 기업의 핵심 가치 중 윤리적 가치를 깊이 내재화한 피인수 기업 출신 리더일수록 보다 높은 수준의 윤리적 리더십을 발휘하는지를 실증적으로 규명하고자 하였다. 근거이론(grounded theory)에 기반하여 피인수 리더의 가치 내재화 정도와 윤리적 리더십 수준을 측정 방식을 설계하였으며, 혼합연구방법(mixed method)을 활용하여 가설을 도출하고 이를 검증하였다. 분석 결과, 인수기업의 핵심 윤리가치를 진정성 있게 수용한 리더(즉, 높은 내재화 수준)는 이를 단순히 인지적 차원에서 수용하는 데 그친 리더(즉, 낮은 내재화 수준)에 비해 강한 윤리적 리더십을 발휘할 가능성이 높은 것으로 나타났다. 나아가 가치 내재화는 리더 개인의 도덕적 발달 수준과 상호작용하여 윤리적 리더십에 영향을 미치는 것으로 확인되었다. 본 연구는 인수 후 성공적인 통합을 위해서는 제도적·구조적 통합을 넘어, 피인수 기업 출신 리더들이 인수기업의 핵심 가치를 진정성 있게 내면화해야 함을 시사한다.
