공급망 관련 정보의 공시제도 개선방안 : 주요 고객정보 공시를 중심으로
An Analysis of the Supply Chain Information Disclosure System : Focusing on Major Customer Information Disclosure
This study examines the disclosure practices of supply chain-related information from the perspective of the users of separate financial statements. In Korea, separate financial statements serve as the direct basis for determining distributable income, filing corporate income tax, and conducting loan and credit assessments, so a substantial group of users relies on them on a stand-alone basis. However, paragraph 4 of K-IFRS No. 1108 (Operating Segments) requires segment information only in the consolidated financial statements when both statements are included in a single financial report. Because major customer information (paragraph 34)—an entity-wide disclosure—is placed within the same standard as segment information, it may be omitted together from the separate financial statements. This study reviews, by type, the disclosure practices of sales dependency information on major customers in the notes to both separate and consolidated financial statements, and analyzes the problems that arise when such information is omitted from separate financial statements. A survey of listed manufacturing firms from 2018 to 2024 shows that, on average, 69.77% of parent companies preparing consolidated financial statements voluntarily disclosed major customer information in their separate financial statements, with wide variation in disclosure type and quality. The case analysis confirms that when the operating segments of the parent and subsidiary differ and the subsidiary accounts for a large portion of revenue, consolidated-based major customer dependence information can understate or omit the parent company's own risk. Accordingly, this study proposes three improvements: mandating the disclosure of major customer information in separate financial statements through an exception clause, supplementing major customer disclosures in consolidated financial statements, and identifying and disseminating standard best-practice disclosure examples.

한국 K-IFRS 체계에서 종속기업을 보유한 기업은 연결재무제표와 별도재무제표를 함께 작성한다. 별도재무제표는 배당가능이익 산정, 법인세 신고, 여신·신용 평가의 직접 근거가 되어 이를 단독으로 활용하는 정보이용자가 존재한다. 그러나 K-IFRS 제1108호(영업부문) 제4문단은 두 재무제표가 하나의 보고서에 포함될 경우 부문정보를 연결재무제표에만 요구한다. 기업 전체 수준의 정보인 주요고객 정보(제34문단)가 부문정보와 동일 기준서에 배치되어 있어, 별도재무제표에서 함께 누락될 수 있다. 본 연구는 별도재무제표 정보이용자의 관점에서 주요고객 의존도 정보의 공시실태를 유형별로 검토하고, 해당 정보의 누락에 따른 문제점과 개선방안을 분석하였다. 2018년부터 2024년까지 상장 제조기업을 대상으로 조사한 결과, 연결재무제표 작성 지배기업의 평균 69.77%가 별도재무제표에 주요고객 정보를 자발적으로 공시하였으나 공시 유형과 품질의 편차가 컸다. 사례 분석에서는 지배기업과 종속기업의 영업부문이 상이하고 종속기업 매출 비중이 높은 경우, 연결기준 의존도 정보가 지배기업 자체의 위험을 과소평가하거나 생략시키는 왜곡이 확인되었다. 이에 본 연구는 별도재무제표 주요고객 정보 공시의 의무화(적용 예외 조항 신설), 연결재무제표 주요고객 정보 공시의 보완, 표준 모범공시 사례의 발굴·전파를 개선방안으로 제안하였다.
