The March 2026 revision of the Korean Commercial Act (Act No. 21488) mandates that companies cancel all treasury stocks within one year of acquisition. Exceptional retention or disposition — for employee compensation, employee stock ownership plans, or other enumerated business purposes — is permitted only upon shareholders' meeting approval. The revised Act further applies these requirements to treasury stocks already held at enactment, subject to a transitional grace period. This article examines the constitutionality of these treasury stock regulations from a Korean constitutional law perspective. It first surveys the legislative history of treasury stock regulation and identifies the key constitutional issues, then constructs a framework around the distinctive nature of shareholder rights as property rights, the principles governing their legislative formation — preserving the property-rights function of corporate institutions, corporate autonomy, and economic democratization — and the applicable standard of constitutional review. On this basis, the article analyzes three aspects of the revised Act: (i) the statutory characterization of treasury stocks as effectively unissued shares stripped of all shareholder rights; (ii) the mandatory cancellation-exceptions subject to shareholder approval; and (iii) the application of these obligations to pre-enactment holdings. The Constitutional Court recognizes shares (shareholder rights) as a form of property right grounded in a shareholder's membership status in the corporation. The legislature enjoys broad discretion in defining the content and limits of such property rights. Under the text and theory of the Constitution, shareholder rights must be shaped so as to satisfy shareholders' individual property expectations while also fulfilling the proprietary functions of the corporation — including maintenance of capital, facilitation of capital raising, and enhancement of managerial efficiency. Moreover, they must be structured to guarantee member autonomy within state-established institutional frameworks and to achieve economic democratization-a harmonious balance among the interests of diverse stakeholders. Whether shareholder-related legislation exceeds the limits of legislative discretion shall be assessed by Constitutional principles governing the formation of shareholder rights. With respect to the application of the principle of proportionality(Verhältnismäßigkeitsprinzip), the sub-criterion of least restrictive means (Erforderlichkeit) should be applied with relaxed scrutiny, while the balancing of legal interests (Verhältnismäßigkeit im engeren Sinne) must be conducted through a multi-layered weighing of the diverse competing interests at stake. The article concludes that all three aspects are constitutional. (1) The characterization of treasury stocks as equivalent to unissued shares is consistent with prevailing commercial law and with the constitutional principles governing shareholder rights and corporations. (2) The mandatory cancellation serves the legitimate public interests-namely, maintenance of capital, minority shareholder protection, and market integrity. The least restrictive means standard is satisfied insofar as the legislation provides an exception allowing a corporation to retain or dispose of treasury stocks upon obtaining approval from the general shareholders' meeting. The requirement of proportionality is likewise satisfied, given that the treasury stock regulations are designed to achieve public benefit by preventing the abusive exploitation of treasury stocks. Therefore, this rule survives a relaxed proportionality review. (3) The application of these obligations to pre-enactment holdings neither constitutes prohibited retroactive legislation under Article 13(2) of the Constitution nor violates the principle of legitimate expectations. In conclusion, the treasury stock regulations under the amended Commercial Act are likely to be assessed as constitutional.

2026년 3월 상법개정(법률 제21488호)은 회사가 취득한 자기주식을 취득일로부터 1년 이내에 소각하도록 의무화하되, 임직원 보상·우리사주·경영상 목적 등 법정 예외사유에 해당하는 경우 주주총회 승인을 조건으로 예외적 보유·처분을 허용하였다. 아울러 기존 보유 자기주식에도 유예기간을 부여하여 동일한 규제를 적용하도록 하였다. 이 글은 이러한 2026년 개정상법상 자기주식 규제가 재산권으로서의 주주권을 침해하거나 헌법상 한계를 일탈하였는지를 헌법적으로 검토한다. 이를 위하여 먼저 자기주식에 관한 상법의 변천 과정을 살펴보고 헌법적 쟁점을 추출하며, 주주권의 특유한 재산권적 성격과 주주권 형성입법의 원리(재산권적 기능 보장원리, 자치의 원리, 경제민주화 원리) 및 위헌심사기준을 정리한다. 이에 기초하여 ① 자기주식의 법적 성격 규정, ② 원칙적 소각·예외적 보유·처분 규정, ③ 기존 보유 자기주식에 대한 규제 적용의 위헌 여부를 각각 분석한다. 헌법재판소는 주식(주주권)은 주주의 회사에 대한 사원지위로서 재산권으로 인식한다. 입법자는 재산권의 내용과 한계를 형성할 넓은 형성재량을 가진다. 헌법 문언과 이론에 따르면 주주권은 개인의 재산적 기대를 충족하면서, 자본충실, 원활한 자본조달, 경영효율성 증대와 같은 주식회사의 재산적 기능을 충족할 수 있고, 국가가 형성한 제도 내에서 구성원의 자치를 보장하고, 다양한 이해관계자들 사이의 이해관계가 조화와 균형(경제민주화)을 이룰 수 있도록 형성되어야 한다. 주주권 관련 입법에 대한 위헌심사기준으로서, 주주권 관련 입법이 앞서 살펴 본 헌법상 주주권 형성입법의 원리를 위반하였는지에 따라 입법형성권의 한계를 일탈하였는지 여부를 심사하고, 과잉금지원칙의 적용에 있어서는 과잉금지원칙의 하부심사기준인 침해의 최소성은 완화 적용되어야 하고, 법익균형성은 다양한 법익 사이의 다층적 법익형량에 의해야 한다. 이러한 헌법이론에 비추어 보면, 자기주식의 본질을 미발행주식으로 보아 주주의 권리를 부정한 자기주식 성격규정은 주식회사 제도 형성의 입법원리에 부합하는 합헌적 입법형성이다. 원칙적 소각·예외적 보유·처분 규정은 자본충실원칙, 소수주주 보호, 시장 신뢰 제고라는 정당한 공익을 위한 것으로서, 주주총회로부터 보유·처분에 대한 승인을 얻으면 자기주식을 소각하지 않고 보유·처분할 수 있는 예외를 두고 있다는 점에서 침해최소성도 충족하고, 자기주식 규제가 자기주식을 남용적으로 활용하는 것을 차단하여 공익을 달성하기 위한 것이라는 점에서 법익균형성도 충족하므로, 주주권의 재산권적 특성을 반영한 완화된 과잉금지원칙 심사를 통과한다. 기존 보유 자기주식에 대한 적용은 소급입법에 해당하지 아니하고, 법률개정을 통해 달성하고자 하는 공익이 구법질서에 기초한 신뢰이익보다 크며, 경과규정이 마련되어 있어 신뢰보호원칙에도 위배되지 않는다. 결론적으로 2026년 개정상법상 자기주식 규제는 전체적으로 합헌으로 평가될 가능성이 높다 할 것이다.
