Article 180(2) of the newly revised Company Law establishes a general clause governing directors’ duty of care by requiring directors to exercise “the reasonable care ordinarily expected of a manager.” Yet this general clause remains abstract and indeterminate in application and is therefore insufficient, standing alone, to resolve issues of liability arising from different types of directors’ conduct in the performance of their duties. If no distinction is drawn among different types of conduct and the same uniform and abstract standard of “reasonable care” is applied directly, the likely result is uncertainty as to the object of review, imbalance in the intensity of review, and inconsistency in adjudicative standards. In order to concretize the application of Article 180(2), this article adopts a typological approach to interpretation and distinguishes the modes in which Article 180(2) operates by reference to the principal normative focus of the conduct at issue, while also clarifying its boundary of application in relation to the specific rules of company law. With respect to conduct centered on the formation of business judgment, the assessment of the duty of care should focus on authority, information acquisition, and procedural compliance, with particular emphasis on whether the process of judgment formation was properly carried out. With respect to conduct centered on maintaining the operation of the corporate organization and the continuity of corporate governance, the assessment should focus on whether the basic steps of governance were continuously and fully performed, with particularemphasis on whether the relevant conduct-based duties were actually discharged. At the same time, in light of the Company Law, its related specific rules, and recent interpretive developments, the concretization of Article 180(2) should not be understood as a mere restatement of an abstract concept, but rather as a process of identifying the normative focus of the conduct at issue and extracting the relevant steps of review, thereby forming an adjudicative approach suited to different types of directors’ conduct. Through this distinction, Article 180(2) may be transformed from a unitary general standard of conduct into a differentiated structure of judicial review responsive to different types of directors’ conduct, thereby providing a more stable and operable framework for the application of the general clause governing directors’ duty of care.
