The reform of the agreed capital contribution system grants shareholders the right to independently determine the timing of their capital contributions, thereby creating an ongoing institutional tension between corporate capital expansion and the protection of creditors’ interests. Article 54 of the Company Law, as amended in 2023, formally established a general rule stipulating the early maturity of capital contribution obligations in non-bankruptcy situations. This provision, triggered by a company’s inability to repay matured debts, aims to strike a systemic balance between shareholders’ interest in the term of their contributions and creditors’ need for relief. However, the provision suffers from four major regulatory deficiencies. First, it lacks a typology of shareholders’ defenses and clear review standards; second, there is no effective mechanism linking the accelerated repayment system with corporate bankruptcy law, resulting in inadequate legislative responses to conflicts between bankruptcy and non-bankruptcy procedures. Furthermore, the criteria for determining the element of “inability to repay matured debts” are ambiguous, leading to divergent judicial precedents across regions; litigation channels for creditors to assert their rights are obstructed, and the allocation of the burden of proof is severely imbalanced. This paper systematically reviews the historical evolution and regulatory structure of the acceleration regime. By analyzing the characteristics of typical judicial precedents in practice and drawing on a comparative law perspective of capital systems in China and South Korea, it conducts an in-depth analysis of the aforementioned four regulatory limitations. On this basis, this paper proposes a plan for institutional improvement. Specifically, at the level of judicial interpretations, a closed system of defense categories and phased review standards should be established, using the company’s debt repayment status as a dividing line to coordinate the interlinked application of bankruptcy and non-bankruptcy repayment rules; judicial determinations of triggering conditions should be unified through typological standards; and creditors’ litigation pathways should be optimized by establishing a dynamic allocation mechanism for the initial burden of proof and the shift of the burden of proof. The ultimate goal of this institutional reform is to achieve a sustainable normative balance between protecting creditors and safeguarding shareholders’ time value of money.

중국의 회사법은 대폭적인 개정을 지속해오고 있다. 그 중 자본과 관련하여서는 과거 엄격한 법정납입자본금제에서 완화된 인수출자제도로 전환되었다. 자본금에 관한 입법주의의 개정으로 등록자본금과 실제 납입 자본금 사이의 괴리가 급격히 확대되면서, 수많은 사법 분쟁이 발생하여 왔고 결국 중국의 2023년 개정 회사법 제54조를 통해 비파산 상황에서의 출자 가속 이행제도라는 한국 등 다른 국가에서 찾아보기 힘든 다소 독특한 입법이 이루어졌다. 동 규정은 입법 기술상 고도로 일반화된 규범적 표현을 선택했으나, 사법부의 통일적 적용을 유도할 수 있는 부수적 해석방안을 동시에 제시하지 못함으로써, 규정을 구체적으로 적용하는 부담이 사법 기관으로 전가되었다. 발동 기준, 절차 규칙 등 핵심 적인 법 적용의 요건을 사법 기관의 해석에 맡긴 결과, 시행 첫해부터 여러 분야에서 해석상의 난점이 표출되어 왔다. 구체적으로 (ⅰ) 만기채무를 변제할 수 없는 경우’의 해석상 문제, (ⅱ) 기업지배구조상 의사결정의 주체가 명확하지 않은 문제, (ⅲ)주주 항변의 심사와 관련하여 법적 근거가 부족하고 항변사유 심사 기준이 부재한 문제, (ⅳ) 파산법과의 충돌 문제, (ⅴ) 채권자 소송관련 절차적 미비의 문제 등이 발견되었다. 본 연구에서는 각각의 문제에 대하여 (ⅰ) ‘만기채무를 변제할 수 없는 경우’에 대한 해석지침 제정 (ⅱ) 기업지배구조상 의사결정의 주체 결정 (ⅲ) 주주 항변 사유에 대한 심사규칙 구축 (ⅳ) 파산법의 개정 (ⅴ) 채권자 소송관련 절차 개선이라는 나름의 해결방안을 제시해 보았다. 본 연구를 통한 이러한 논의들을 통하여 중국법에 관심이 있는 한국의 독자들에게 새로운 입법의 동향을 소개하고 중국 내부적으로는 해석론적 방향을 제시함으로써 제도적 공백을 개선할 수 있게 되기를 기대한다.

전북대학교 동북아법연구소는 동북아법에 관한 국내외의 이론과 실제를 연구하고 교육하며, 그 결과를 발표하여 동북아법에 대한 이해의 증진과 동북아의 법률문화발전에 기여하기 위한 목적으로 2006년 7월 설립되었다.
서해안시대의 중심지역을 표방한 전라북도의 지리적 여건과 동북아시아의 여러 국가와의 인적 물적 교류가 확대되면서 그에 따른 여러 가지 법률문제가 발생됨에 따라 동북아시아의 지역적 특성을 고려한 법제도의 연구와 이들 국가와 거래하는 전북지역 자치단체와 기업에 대한 실질적 교육의 필요성이 대두되었다.
이러한 요청에 따라 법제도의 연구와 교육을 담당할 기관으로 전북지역 거점국립대학인 전북대학교가 동북아법연구소를 설립하게 되었고 전북 지방자치단체와 기업에 대한 교육과 자문프로그램을 운영하고 있다.
