Prior studies have shown that weak internal controls and poor corporate governance increase the likelihood of Asset Misappropriation. Furthermore, firms that disclose Asset Misappropriation are often subject to negative market evaluations, resulting in a decline in firm value and an increase in the cost of capital. Accordingly, such firms may have incentives to undertake various Activities to Restore Reputation by strengthening their internal control systems; however, empirical evidence on this issue remains limited. Therefore, this study examines whether Internal Accounting Personnel and corporate governance improve following the disclosure of Asset Misappropriation. The sample consists of KOSPI- and KOSDAQ-listed firms that disclosed Asset Misappropriation between 2017 and 2019. The level of Internal Accounting Personnel was measured by the number of personnel, the proportion of Certified Public Accountants (CPAs) among Internal Accounting Personnel, and the average months of experience of Internal Accounting Personnel. Corporate governance was measured by the proportion of Outside Directors. The results show that, for the full sample, the number of Internal Accounting Personnel, the proportion of CPAs, and the proportion of Outside Directors did not change significantly following the disclosure of Asset Misappropriation. In contrast, the average months of experience of Internal Accounting Personnel increased significantly. In addition, the average months of experience increased significantly among KOSDAQ firms, whereas no significant change was observed among KOSPI firms. Additional analyses further reveal that the average months of experience of Internal Accounting Personnel remained significantly higher even two years after the disclosure of Asset Misappropriation. These findings suggest that, following the disclosure of Asset Misappropriation, firms strengthened their internal controls not through symbolic changes in corporate governance or simple increases in personnel, but rather by reinforcing Internal Accounting Personnel with greater experience and expertise in internal control activities. This pattern is more evident among KOSDAQ firms, which are relatively more vulnerable in terms of internal control systems, and indicates that firms initiate internal control enhancement efforts immediately after the disclosure of Asset Misappropriation, with such efforts becoming increasingly evident over time.

선행연구에서는 기업의 내부통제와 지배구조가 취약할수록 횡령이 발생할 가능성이 높으며, 횡령을 공시한 기업에 대해서는 시장의 부정적 평가로 기업가치가 하락하고 자본비용이 증가하는 것으로 나타났다. 이에 횡령 공시기업은 실추된 명성을 회복하기 위하여 내부통제를 강화하는 다양한 활동을 수행할 유인이 존재할 수 있으나, 이에 대한 실증연구는 부족한 상황이다. 본 연구는 2017년부터 2019년까지 횡령을 공시한 코스피 및 코스닥 상장기업을 대상으로 횡령 공시 후 내부회계관리인력의 특성과 기업지배구조의 수준이 개선되는지를 실증분석하였다. 내부회계관리인력은 인력의 수, 인력 중 공인회계사 비율, 인력의 평균경력월수로 측정하였으며, 기업지배구조는 사외이사비율로 측정하였다. 분석 결과, 전체표본에서는 횡령 공시 후 내부회계관리인력의 수, 내부회계관리인력 중 공인회계사비율 , 사외이사비율은 유의한 변화가 없었으나 내부회계관리인력의 평균경력월수는 유의하게 증가하였다. 또한 코스닥에서는 내부회계관리인력의 평균경력월수가 유의하게 증가한 반면, 코스피에서는 유의한 결과가 나타나지 않았다. 추가분석에서는 횡령 공시 2년 후에도 내부회계관리인력의 평균경력월수는 유의하게 증가한 것으로 나타났다. 이는 횡령 공시 후 기업들이 외형적인 지배구조 변화나 단순한 인력 확충보다는 내부통제 업무에 숙련된 내부회계관리인력을 보강하는 방식으로 내부통제를 강화하였고, 이러한 현상은 상대적으로 내부통제 기반이 취약한 코스닥기업에서 더욱 뚜렷하며, 횡령 공시 직후부터 내부통제를 강화하기 시작하여 시간이 경과할수록 더욱 가시화될 가능성을 보여준다.
