Creditor’s Revocation Rights is a special remedy designed to protect unsecured creditors when a debtor engages in a fraudulent (deceptive) act that impairs the creditor’s ability to secure satisfaction of the claim. By denying the legal effect of such an act, this right aims to restore the debtor’s liable property to its pre-transfer state and thereby preserve the asset pool available for creditor recovery. However, the Korean Civil Code provides only two provisions on the creditor’s right of revocation—one governing rescission and restitution as the mode of exercise, and the other stipulating that the effect of revocation extends to all creditors. As a result, persistent doctrinal disagreement has arisen regarding the legal nature of the revocation right, along with unresolved issues such as the scope and consequences of its exercise and potential tension with the general principle of equal treatment among creditors. In principle, creditors may not interfere with a debtor’s disposition of property, as the debtor retains the right to exercise full control over their own assets. Nevertheless, Creditor‘s Revocation Rights repudiates the effect of an otherwise valid juridical act and enables the restoration of the debtor’s liable assets from a third party who transacted with the debtor—namely, the beneficiary or a subsequent purchaser—thereby exerting a significant legal impact on third parties. Creditor‘s Revocation Rights is a legal mechanism that, together with the creditor’s right of subrogation, aims to preserve the debtor’s liable assets. It seeks to harmonize competing normative principles—the need to secure creditors’ common security and the debtor’s freedom to manage and dispose of property—while also protecting third-party interests and transactional safety through its proper operation. Although extensive research has been conducted on Creditor’s Revocation Rights, a unified and consistent theory addressing its requirements for establishment and the effects of its exercise has yet to be presented in practice, from both substantive-law and procedural-law perspectives. Therefore, as a prerequisite for overcoming the interpretive problems surrounding Creditor‘s Revocation Rights, this study aims to propose interpretive criteria centered on its legal nature and requirements for establishment, thereby contributing to its settlement as an effective and workable legal institution. As a result, Creditor‘s Revocation Rights restricts the debtor’s power of disposition while also pursuing the concrete value of transactional security, it requires relatively detailed legislative refinement developed through sustained discussion aimed at maintaining an appropriate balance and harmony between these competing interests.

채권자취소권은 채권이 물적 담보에 의하여 확보되지 않는 상황에서 채무자의 사해행위가 있게 되면 채권자의 채권확보는 어려울 수 밖에 없기 때문에 사해행위의 효력을 부인하여 채무자의 책임재산을 감소되기 이전의 상태로 회복하는 것을 목적으로 하는 채권자의 특별한 권리이다. 그러나 우리 민법은 채권자취소권에 관한 규정을 채권자의 법적 성질에 따른 행사로써 취소와 원상회복에 관한 규정과 취소의 효력은 모든 채권자에게 적용된다는 2개의 규정만을 두고 있어서 법적 성질에 대한 다양한 학설이 제기되고 있을 뿐만 아니라 취소권행사의 효과와 채권자평등이라는 일반원칙과의 충돌이라는 문제 등이 발생하고 있다. 채무자라도 자기재산에 대하여 절대적이 지배가 인정되기 때문에 채권자는 채무자의 재산처분행위에 간섭할 수 없는 것이 원칙이다. 그럼에도 불구하고 채권자취소권은 유효하게 성립한 법률행위의 효력을 부인해서 채무자와 거래한 제3자인 수익자 또는 전득자로부터 채무자의 책임재산을 회복하는 것이므로 제3자에게 미치는 영향이 매우 크다고 할 수 있다. 채권자취소권은 채권자대위권과 함께 책임재산의 보전을 목적으로 하여 채권자의 공동담보의 필요성과 채무자의 재산관리행위의 자유라는 상반된 규범원리와 제3자의 이해관계와 거래의 안전을 확보기 위한 합리적이고 적절한 운용의 조화를 꾀하기 위한 제도이다. 채권자취소권에 대한 다양한 연구가 진행되고 있지만, 아직까지도 그 실무적 운용에 있어서는 그 성립요건과 행사의 효력에 있어서 실체법과 절차법의 측면에서 통일적이고 일관된 이론을 제시하지 못하고 있다. 따라서 채권자취소권의 해석론상의 문제점을 극복하기 위한 전제로써 채권자취소권의 법적성질과 성립요건을 중심으로 합리적인 해석론의 기준을 제시하면서 실효성 있는 제도로 정착될 수 있도록 기여하는 데에 목적을 두고자 한다. 결과적으로 채권자취소권은 채무자의 재산에 대한 처분권을 제한하면서 거래의 안전이라는 구체적 타당성을 추구하기 위하여 상호 균형과 조화를 유지하기 위한 다양한 논의 이후에 비교적 자세한 입법적 보완이 필요하다.
