Recently, a series of operational issues, including illegal contracts, accounting irregularities, and procedural violations, have surfaced in local redevelopment and reconstruction associations, resulting in increasing harms to association members and buyers. In fact, inspections of associations with frequent complaints have revealed numerous regulatory violations. In some cases, internal conflicts have even escalated into criminal activities following the dismissal of executives. The legal relationships surrounding redevelopment and reconstruction projects are complex, driven by multiple stakeholders with conflicting interests. Disputes frequently involve civil, administrative, and criminal proceedings. To accurately understand both the project flow and the dispute structure, and to devise reasonable solutions, a thorough examination of the legal nature of the redevelopment association, which is at the heart of project implementation, is required. Redevelopment associations were granted legal personality and are now regulated in a unified manner following the enactment of the Urban Redevelopment Act in 2003. However, this formality alone does not clearly define their legal essence. In particular, violations of the law, particularly regarding general meeting resolutions surrounding the appointment of a union leader or officers, or contracts involving non-budgetary member burdens, can trigger new disputes related to contract validity or permit cancellation. This study examines the background of the Urban Redevelopment Act, the redevelopment project procedures, and the formation and legal status of redevelopment associations. It then analyzes issues related to contracts requiring approval at a general meeting of union members, focusing on Supreme Court precedents. This discussion is expected to offer valuable insights beyond urban redevelopment projects and to understand disputes related to the operation of general meetings of other real estate development associations and general corporations.

최근 지역 재개발·재건축 조합에서 불법 계약, 회계 부정, 절차 위반 등 운영상의 문제가 잇따라 드러나며 조합원과 분양자 피해가 커지고 있다. 실제로 민원이 잦은 조합을 점검한 결과 다수의 규정 위반이 확인됐고, 일부 조합에서는 집행부 해임 이후 내부 갈등이 범죄로까지 번지는 사례도 발생했다. 이처럼 재건축·재개발 사업을 둘러싼 법률관계는 이해관계가 상충하는 여러 주체들로 인해 매우 복잡하며, 민사·행정·형사 절차가 동시에 얽히는 분쟁이 빈번하다. 사업의 흐름과 분쟁 구조를 정확히 이해하고 합리적인 해결책을 마련하기 위해서는, 사업 시행의 중심에 있는 정비조합의 법적 성격을 면밀히 검토할 필요가 있다. 정비조합은 2003년 도시정비법 시행 이후 법인격을 부여받아 통합적으로 규율되고 있으나, 이러한 형식만으로 그 법적 본질이 명확해졌다고 보기는 어렵다. 특히 조합장이나 임원 선임을 둘러싼 총회 결의, 예산 외 조합원 부담 계약과 관련해 법 위반이 발생할 경우, 계약 효력이나 인가 취소 문제로 새로운 분쟁이 촉발될 수 있다. 이에 본 연구는 도시정비법의 제정 배경과 정비사업 절차, 정비조합의 형성과 법적지위를 살펴본 뒤, 조합원 총회의 의결이 요구되는 계약과 관련된 쟁점을 대법원 판례를 중심으로 분석하였다. 이러한 논의는 도시정비사업에 국한되지 않고, 다른 부동산 개발조합이나 일반 법인의 총회 운영과 관련한 분쟁을 이해하는 데에도 유의미한 시사점을 제공할 것으로 보인다.
