This study analyzes whether a systematic relationship exists between boards of directors and business diversification. More specifically, we examine whether key board characteristics have differential effects on firm diversification. Given the overall importance of the board of directors, many stakeholders have paid great attention to the role of the board of directors, so providing detailed evidence on how boards of directors actually behave in practice is of interest to a wide range of stakeholders. Nevertheless, there is only a limited amount of domestic research on the role of the board of directors in relation to diversification. Based on the fact that the board of directors is a key corporate governance structure that influences major corporate decisions (Fama and Jensen 1983), this study aims to test how the board of directors affects business diversification. In other words, this study analyzes whether differential board effectiveness leads to differences in diversification, which is expected to provide useful implications for stakeholders in the capital market. We find the two following results. First, there is a statistically significant positive relationship between board size and business diversification level, and second, there is a statistically significant positive relationship between board independence and business diversification level. Based on these findings our research has certain contributions. First, this study is expected to provide useful information on board competence. Second, this study is different from previous studies on the determinants of business diversification and presents new determinants. In this respect, this study has a distinctive contribution.

본 논문은 이사회와 사업다각화 사이의 관계에 대해 분석하였다. 보다, 구체적으로, 이사회의 우수성과 사업다각 화 수준 간에 존재하는 관계를 체계적으로 살펴보았다. 이를 위해, 선행연구에 기반하여 체계적인 연구 가설을 수립 하고, 실제 기업 자료에 기반한 실증분석을 수행하였다. 본 연구는 2011년부터 2021년까지에 해당하는 기간 동안 코스피-코스닥 상장기업들을 활용해 실증분석을 실시 했다. 그에 따른 실증분석 결과는 다음과 같다. 첫째, 이사회 규모와 사업다각화 수준 간에 통계적으로 유의한 양 (+)의 관계가 나타났다. 이와 같은 결과는 이사회의 규모가 상대적으로 클수록 해당 기업의 사업다각화 수준이 늘 어난다는 것을 의미하기에, 사업다각화 관련 이사회의 긍정적인 역할을 뒷받침하고 있다. 둘째, 이사회 독립성과 사업다각화 수준 간에 통계적으로 유의한 양(+)의 관계가 존재했다. 이와 같은 결과는 이사회의 독립성이 상대적으 로 높수록 해당 기업의 사업다각화 수준이 늘어난다는 것을 의미하기에, 사업다각화 관련 이사회의 긍정적인 역할 을 뒷받침하고 있다. 이 같은 본 연구의 결과는 다음과 같은 측면에서 차별적 공헌점을 지닌다. 첫째, 본 연구는 이사회 역량에 대한 유용한 정보를 제공할 것으로 예상된다. 둘째, 본 연구는 사업다각화의 결정요인을 다룬 선행연구와는 차별적으로 새로운 결정요인을 제시하고 있다. 이 같은 점에서, 본 연구의 차별적 공헌점이 존재한다.
