Smartphones have triggered the digitalization of cultural contents such as music and novels, and the webtoon and mobile game app markets are growing day by day. KakaoTalk has established itself as a messenger for the entire nation, extending beyond personal communication. Various SNS enable enjoyable communication with people from all around the world. The EU Digital Guidelines set forth criteria for digital content and services to be considered contractually appropriate. To meet these criteria, the supplied digital content should fulfill both the subjectively agreed-upon requirements between the parties and the objectively expected levels of functionality and quality. Additionally, separate from these criteria, the guidelines also include regulations related to the integration of digital content, as outlined in Article 9. Notably, the guidelines characterize the inclusion of inaccurate integration as a passive condition for contractual suitability. Here, 'integration' refers to linking or incorporating digital content with hardware or software that constitutes the user's digital environment, ensuring that the digital content operates according to the contract terms. Moreover, integration is distinct from 'installation,' and the EU Digital Guidelines stipulate that even if digital content is installed, if problems arise with integration due to the provider's fault, the digital content itself can be deemed unsuitable for supply, leading to contract termination. Regrettably, the pending partial amendment to the Civil Law does not address issues related to integration and its associated problems. This study aims to shed light on Article 9 of the EU Digital Guidelines, which pertains to the integration of digital content, and to explain why its implementation is necessary during the Civil Law revision, and how it could be supplemented and introduced effectively.

스마트폰은 음악, 소설 등 문화콘텐츠의 디지털화를 촉발시켰고, 웹툰과 게임앱 시 장은 나날이 성장하고 있다. 카카오톡은 사적 영역을 넘어 대국민 메신저로 자리 매김 하였고 인스타그램, 페이스북 등 각종 SNS는 세상 누구와도 재미있게 소통할 수 있게 해준다. 이와 같은 디지털 콘텐츠 또는 디지털 서비스는 디지털이라는 속성 때문에 그 공급 에 있어서 기존의 계약 법리만으로는 충분하게 규율하기 어렵다. 유럽연합은 2019년 디지털 콘텐츠 등의 공급을 위한 EU디지털지침을 마련하였고, 우리나라도 2023년 디 지털 제품 공급계약에 관한 규정을 신설하는 민법 일부개정안이 국회에 계류 중이다. EU디지털지침은 공급되는 디지털 콘텐츠 등이 계약에 적합하려면 당사자 사이에 약속한 주관적 요건을 충족해야함과 동시에 통상적으로 기대되는 수준의 기능과 품질 등 객관적 요건에도 부합해야 한다는 기준을 제시한다. 이와 별개로 디지털 환경에 대한 디지털 콘텐츠 등의 통합(integration)에 관한 규정을 두고 있는데(제9조), 부정확 한 통합을 계약 적합성의 소극적 요건으로 상정하고 있는 것이 특징이다. 여기서 통합 이란 이용자의 디지털 환경을 이루는 하드웨어 또는 소프트웨어와 연결(linking), 결합(incorporation) 함으로써 디지털 콘텐츠 등을 계약 내용대로 실행되게 하는 것을 말한 다. 또한 통합은 설치(installation)와는 다른 개념인데, EU디지털지침은 디지털 콘텐츠 등이 설치되었더라도 제공자의 책임 있는 사유로 통합에 문제가 발생한 경우, 디지털콘텐츠 등 급부 자체가 부적합하다고 보고 계약 해제까지 할 수 있도록 규정하고 있다. 아쉽게도 계류 중인 민법 일부개정안은 통합 및 그와 관련된 문제를 다루고 있지 않다. 본 연구는 디지털 콘텐츠 등의 통합에 관한 EU디지털지침 제9조를 집중 조명함으로써 민법 개정 시에 왜 이를 도입해야 하는지, 나아가 어떻게 보완하여 도입하는 것이 좋을지에 관하여 설명하는 것을 목표로 한다.
