Business ethics tends to be regarded as a strategic method in business. In the field of ethics, it depends upon the justification of the theory on traditional normative ethics. However, this has resulted in questioning the independent status of business ethics. Hereupon, by using both the social contract theory and Rawls’ theory, I would like to seek an alternative that political philosophy can produce the normative justification of business ethics. However, in order for political philosophy to provide normative justification for business ethics, it should have a reasonable argument that political philosophy considering the state and its citizens can also be applied to corporations. Since the difference between a corporation and a state does not show a profound difference in quality, it‘s only a difference in degree, it should be a priority to support the justification of an attempt to apply political philosophy to business ethics. For this, I reinterpret the arguments of those who claim political philosophy cannot be applied to business ethics, and I argue the reverse by examining the reasons provided in their arguments. That is, it will be shown through the concepts of 'cooperation and distribution' and 'contracts and obligations' that the role of Rawls' 'Basic structure of Society' is not very different from that of corporations in the modern industrial society. In addition, the concept of 'social contract' of political philosophy can be applied to business ethics. This is because if the legitimacy, limits, and duties of state power are provided through social contracts, fiduciary duties and reasonable distribution are also given to the stakeholders of the corporations by contract. Lastly, I conclude this argument by looking at how to ensure the practical application and fairness of social contracts in a corporation and how to solve the conflict between profit and ethics.

그동안 기업윤리는 전통적 규범윤리에 이론의 정당성을 의존하거나 경영전략으로 치부되었다. 이는 기업의 윤리적 문제 해결에 규범 윤리이론들 간의 갈등만을 야기하거나, 윤리적 당위성이 경영성과의 수단으로 간주 되는 등 기업윤리만의 독립적 지위를 의심하게만 하였다. 이에 롤즈와 사회계약적 접근을 통하여 정치철학이 기업윤리의 규범적 타당성을 확보할 수 있는 대안을 모색하고자 한다. 정치철학이 기업윤리에 대한 규범적 타당성을 제시하려면 국가와 그 시민을 대상으로 하는 정치철학이 기업에도 적용할 수 있다는 타당한 논거를 가져야 할 것이다. 곧 기업과 국가에는 심연한 질적 차이가 아닌 정도의 차이에 불과하므로 정치철학을 기업윤리에 적용하려는 시도의 정당성을 확보하는 것이 우선되어야 한다. 이를 위해 적용 불가능자들이 주장하는 근거를 재해석하여 적용가능성을 논할 것이다. 즉 롤즈의 ‘사회기본구조’와 기업의 역할이 크게 다르지 않음을 ‘협동과 분배’, ‘계약과 의무’의 개념을 통해 보일 것이다. 또한 정치철학의 ‘사회계약’을 통해 국가 권력의 정당성과 한계 그리고 의무가 규정된다면 기업에서도 ‘계약’을 통해 업무에 대한 신의성실의무와 합당한 분배가 기업 내부 구성원들에게도 부여되기 때문이다. 마지막으로 기업에 사회계약의 실제 적용 및 공정성을 어떻게 확보할 수 있는지와 이익과 윤리 간 괴리 문제 해결에 대한 개략적인 방안을 생각해 보는 것으로서 논의를 마무리할 것이다.
