This study examines how the internationalized “bundle(combination)” of certain governance structures affects firm performance and firm internationalization performance as a firm speeds up internationalization. To do this, it examines the key four stakeholders of the firm, namely the CEO, top management team(TMT), board of directors(BOD), and shareholders. By analyzing Korean corporate data on the various internationalized bundle of the four, this study found out that firm performance was most affected by the internationalized bundle of managers(CEO or TMT) and BOD or strategic share shareholder, whereas the internationalized managers(CEO or TMT) alone where not sufficient to significantly affect firm performance. Therefore, we could conclude that heightened firm performance required the internationalized bundle of managers and BOD or that of managers and strategic shareholders. Aiming to find the best internationalized bundle for firm performance, this study is significant in that it reflects the uniqueness of Korean firms, and with limited research on corporate governance and internationalization, it is worthwhile to examine and further clarify the relationship and role of the four key stakeholders on firm internationalization.

본 연구는 기업지배구조의 국제화가 가속화됨에 따라 지배구조의 특정 국제화 조합이 기업의 성과 및 국제화 성과에 미치는 영향을 알아보고자 하였다. 본 연구는 기업의 핵심관계자인 최고경영자, 최고경영진, 이사회, 주주 이 네 가지 측면을 모두 분석하여 총체적인 관점에서 성과도출에 핵심적인 역할을 할 수 있는 최적의 조합을 찾는 것으로 목표로 하였다. 한국 기업 데이터를 바탕으로 진행된 본 연구의 분석결과, 기업의 성과창출과 관련하여 경영진(최고 경영자와 최고경영진)과 이사회 혹은 전략적 주주와의 국제화 조합이 중요한 영향을 미치며, 특히 국제화 성과에서 최고경영자 자체만으로는 의미있는 성과창출에 어려움이 있으므로 최적의 성과를 위해서는 이사회 또는 주주와의 조합이 필요하다는 사실을 확인할 수 있었다. 기업지배구조의 최적 국제화 조합을 찾는 본 연구는 한국 기업의 특수성이 반영된 결과를 찾는다는 점에서 의미가 있으며, 기업지배구조와 연관된 국제화 연구가 부족한 상황에서, 지배구조의 네 가지 주요 역할을 모두 검토함으로써 이론적 확장을 가져올 수 있는 점이, 기존 의 국제화 연구 및 기업지배구조 연구와의 차별성이라고 판단된다.
