The board of directors is the final decision maker of bank risk preference and decisions. Board members have different age, education level, professional background and other characteristics. Due to the heterogeneity of these characteristics, different decisions will be made, which will affect the bank's risk-taking level to varying degrees. In addition, the characteristics heterogeneity of the board member further results in “faultlines”, which may lead to internal team conflicts and have impact on their decision-making quality, which could impact their risk taking further. In this paper, the board of directors of 15 Chinese joint-stock commercial banks during period from 2010 to 2017 were taken as the object of the research to carry out the empirical research on the relation between the heterogeneity & faultlines strength of board of directors and risk taking of Chinese joint-stock commercial banks from the dual visions of both upper echelons perspective and group faultlines theory. First, based on literature and theoretical research, two research hypotheses were proposed for the influence of board member heterogeneity and board faultlines on the risk-taking level of Chinese joint-stock commercial banks. Secondly, in order to verify the hypothesis, this paper established an empirical model and conducted empirical analysis on 120 sample data of 15 joint-stock commercial banks from 2010 to 2017. Finally, the empirical research results show that: (1) all heterogeneities of the board of directors in ages, education degree, and industrial background have negative influences on the risk taking of Chinese joint-stock commercial banks; (2) the professional background heterogeneity of the board of directors has no obvious influence on the risk taking of the banks; (3) the faultlines strength of the board of directors have positive influence on the risk taking of the banks. These achievements provide beneficial reference for optimizing the composing of board of directors of the Chinese joint-stock commercial banks.

이사회는 은행경영에 있어서 위험수용과 관련된 의사결정의 최종 결정자이며, 또한 이사 회 구성원의 의사결정행위는 은행의 위험수용 수준을 결정한다. 이사회 구성원은 다양한 연령, 교육수준, 전문적 지식배경 등의 특징을 가지고 있으며, 이러한 특징의 이질성이 존재하기 때문에, 서로 다른 의사결정 의 결과를 초래하게 되며, 나아가 은행의 위험수용 수준에도 상당한 영향을 미친다. 또한 이사회 구성원의 특징적인 이질성은 이사회의 팀 내부에 단열대를 생기게 할 수 있으며, 단열대의 존재는 팀 내부에 “권내인”과 “권외인”의 차이를 야기할 수 있다. 특히 하위팀으로 분열되어 팀 내부 충돌을 야기함으로써 이사회 결정의 질에 상당한 영향을 미치게 되며, 은행의 위험수용 부담에 대해서도 영향을 미친다. 따라서 본 연구에서는 이러한 관점에서 중국의 2010~2017년 15개 주식제 상업은행 이사 회를 대상으로 이사회의 이질성, 이사회의 단열대(Faultlines)의 강도와 중국 주식제 상업 은행의 리스크 부담 관계를 실증적으로 분석하였다. 우선, 문헌과 이론 연구 기반에 기초 하여, 이사회 구성원의 이질성, 이사회 단열대에 대하여 중국 주식제 상업 은행의 위험수 용에 미치는 영향에 대하여 두 가지 연구 가설을 제시하였다. 다음으로 가설을 검증하기 위해 본 논문에서 실증 모델을 수립했으며 그 대상은 2010년부터 2017년까지 15개 주식제 상업은행 총 120개 샘플 데이터에 대한 관련 분석, 회귀 분석 및 검증을 진행하였다. 마지막으로 실증 연구 결과는 아래와 같다: (1) 이사회 구성원의 연령 이질성, 교육 정도 이질성 및 업종의 경력 이질성은 중국 주식제 상업은행의 위험의 수용에 부정적인 영향을 미치는 것으로 나타났다 (2) 이사회의 구성원의 전문성과 관련된 이질성은 은행의 위험수 용에 현저한 영향을 미치지 않는다 (3) 이사회의 단열대 강도는 중국 주식제 상업은행의 위험수용에 긍정적인 영향을 미치는 것으로 나타났다. 이상과 같은 결론은 중국 주식제 상업은행 이사회 구성을 최적화하고 은행 리스크 관리 수준을 높이는 데 유익한 참고가 되었다. 즉 주식제 상업은행은 위험수용의 수준을 제어하기 위해 이사회 구성원의 이질성 을 높이고 팀 구성원의 특징을 다양화하는 데 중점을 두는 한편 이사회의 단열대의 정도를 조정함으로 단열대 과다로 인해 팀간 충돌이 심하지 않도록 해야 할 것이다.
