Even a business takeover by LBO (Leveraged Buyout) should be punished if it forms one of components of breach of trust under the current criminal law. In a LBO, the acquiring company borrows the acquisition cost mainly from the outside and after the acquisition, the acquired company is actually responsible for debt repayment and so the risk of bankruptcy is essentially to increase because of the debt burden of the acquired company, which makes one of the problems of LBO. Therefore, the core issue in the control of LBO might be how to control appropriately the increase of the bankruptcy risk of the acquired company using what kinds of means. On the other hand, despite the negative aspect of the LBO, it's undeniable that it could economically boost the exterior stability and trustworthiness of the acquired company, as one of its positive aspects. Particularly, direct application of punishment power might make plenty of M&A skills for management rationalization unreasonably discouraged. Seen from the nature of the criminal law - complementation and usability as the last resort - what is proper under the circumstances is to block such risk in advance using regulations from the civil law and business practises rather than control using punishment power. Therefore, worthy of consideration is the argument that reasonable guidelines for LBO should be prepared as a prior regulative means rather than regulation by the criminal law, and its compliance and internal control system should be reinforced. Anyhow, the current criminal law punishes breach of trust and if LBO caused the danger of loss occurrence, perceived by the engaged persons and they did so more for their personal interest, it would be hard to deny that it forms a crime according to the strict interpretation of components of breach of trust on the criminal law. Possible loss of minor shareholders and creditors should the borrowed takeover be widely accepted must also be considered.

LBO를 통한 기업인수라고 하더라도 현행 형법상 업무상 배임죄의 구성요건에 해당한다면 이를 처벌하지 않을 수 없다. 또한 LBO는 인수자금의 대부분 외부에서 차입하고 인수 이후에 피인수회사가 실질적으로 부채상환에 대한 부담을 지기 때문에 본질적으로 피인수회사의 부채증가로 인해 파산위험도 증가한다는 문제점을 가질 수밖에 없다. 이처럼 LBO가 야기하는 피인수회사의 파산에 대한 위험 증가라는 요소를 어떠한 규제수단을 통해 적절히 규제할 것인가 라는 점이 LBO에 대한 규제의 핵심적 쟁점이라 할 수 있다. 한편 LBO는 부정적 측면도 있지만 경제적 측면에서 보면 피인수기업의 대외적 안정성과 신뢰성을 높일 수 있는 긍정적 측면도 있음을 부정할 수 없다. 여기에 형벌권의 직접적 투입은 경영합리화를 위한 다양한 M&A 기법들을 부당하게 위축시키는 결과를 초래할 수 있다는 우려도 있다. 그리고 형법의 보충성 내지 최후수단성이라는 측면에서 보면 형벌권을 통한 규제보다도 사법적 규제, 즉 민사적·상사적 규제수단을 통해 먼저 그 위험성을 차단하는 것이 타당하다고 볼 수도 있다. 따라서 형법적 규제를 우선하기 보다는 사전적 규제적 수단으로서 LBO에 대한 합리적 가이드라인을 마련하고 그 준수 및 내부통제 시스템을 강화하여야 한다는 주장은 고려할 만하다. 어쨌든 현행 형법이 배임죄를 처벌하고 있는 이상 LBO라고 하더라도 손해발생의 위험을 초래하였고, 행위자가 그 위험에 대한 인식이 있었으며, 행위자 자신의 개인적 이익을 위한 목적이 더 강한 것이라고 한다면 형법상 배임죄의 구성요건에 대한 엄밀한 해석에 의할 때 범죄의 성립을 부정하기는 어려울 것이다. 또한 차입인수를 규제 없이 광범하게 인정할 경우 발생할 수 있는 소수주주들과 채권자들 그리고 근로자들의 피해도 염두에 두어야 한다.
