As foreign market entry of Korean firms and numbers of foreign subsidiaries has increased continually, global business strategy and management structure would become more important. Especially, effective foreign subsidiary management is a crucial topic in international business areas because the uncertainty and financial risks in global markets goes up. Most previous research focuses on relationship between headquarter and subsidiaries, subsidiary role, size and autonomy in strategic and operational level. This research is to analyze a business case of Korean major company’s subsidiary management in financial function. As a core affiliate of major business group, company SM intends to establish again foreign management policy and system as it extends business portfolios through the acquisition of a related mid-sized firm. As size of foreign subsidiaries goes up, risk management system is also required to reinforce. First, SM set a framework of subsidiary management in policy and procedure, organization and people, reporting and monitoring, and system infrastructure, considering acquisition synergy effect and headquarter standardized capability(“exportive type”) transfer. In organization and people, a regional based management model is adopted to manage local foreign subsidiaries or offices. Second, it set the role & responsibility of headquarter, global office, regional organization and subsidiaries. Organizational roles are defined specifically into accounting, funds, tax and management control. Regional organization has subsidiary diagnosis role to check the risk, profit and soundness. Third, aligned IT system infra is also upgraded to implement subsidiary management policy effectively. This integrated approach toward subsidiary management intensifies the rule based operation system and effective control of subsidiaries’ operational risks. In conclusion, management direction and strategy of headquarter, subsidiary capability and natures of function have influences on subsidiary management model and policy in this case. This case study provides some practical insights and guidelines for Korean foreign subsidiary management strategy, especially in service industry. First, integrated framework that includes policy, organization and infra would be useful to be applied in subsidiary management practice. Second, in designing regional based subsidiary management system, natures of financial function are considered in balanced role assignments among key stakeholders. Finally, local risk management of subsidiaries should be emphasized to respond global and local market uncertainty.

지속적인 성장전략 차원에서 국내기업들의 해외시장진출이 증가함에 따라 해외자회사의 외형적 규모도 증가하고 있어 자회사의 체계적인 관리에 대한 관심이 높아지고 있다. 특히 글로벌 경영환경의 복잡도와 불확실성이 증가함에 따라 해외자회사의 현지 경영위험도 한층 가중되고 있어 이에 대한 효율적 관리의 필요성은 더욱 높다 할 것이다. 자회사 관리에 대한 기존 연구는 주로 본사와 자회사의 관계와 관리에 미치는 요인과 성과에 초점을 두고 진행되었다. 본 연구는 경영관리와 재무관점에서 국내 다국적기업의 해외자회사 관리에 대한 사례분석을 통해 자회사 관리모델, 영역별 관리수준과 영향요인을 검토한다. 선도 비즈니스 그룹의 핵심계열사로 서비스 업을 영위하고 있는 SM사는 국내시장에서 성장 한계를 극복하고자 비관련기업의 인수를 통한 비즈니스 포트폴리오의 다각화와 적극적인 해외진출 전략을 추진하였다. 이러한 과정에서 해외자회사의 규모가 확대됨에 따라 통합관점에서 자회사 관리모델과 재무기능 중심의 경영관리방안을 재설정하였으며 주요 특징은 다음과 같다. 첫째, 본사의 성장전략을 효과적으로 지원하고자 신규로 인수된 자회사의 역량이 높지 않음을 고려하여 효율적인 현지 위험관리와 손익관리를 위해 권역중심의 통합관리체계로 원칙과 시스템에 의한 관리를 강화하였다. 둘째, 인수이후 초기 통합 시너지 창출을 유도하면서 현지의 경영위험을 최소화하고자 자회사에 대한 자율성 부여 보다는 본사의 표준화된 역량을 전수(‘모기업시스템 전수형’)하는 모델로 효과적 통제에 주안점을 두었다. 셋째, 세부적으로 정책, 조직과 인력, 보고와 모니터링, 정보시스템의 공식화 등 통합적 시각에서 실질적 이행이 가능한 경영관리체계를 마련한 것이 특징이다. 특히 취약한 현지의 인프라 상황을 고려하여 표준화된 정보시스템을 효율적으로 활용하였다. 결론적으로 본 사례의 해외자회사 관리방안은 본사와 그룹의 경영관리방향, 시너지 창출 등의 사업전략, 자회사의 역량과 기능단위 업무 특성이 영향을 미쳤다. 본 연구는 국내 다국적기업의 재무기능 관점의 해외자회사 관리에 대한 사례분석을 통해 자회사관리 프레임워크와 주요영역별로 적용 가능한 가이드라인과 실무지침의 제공에 의미가 있다 할 것이다.
