The problem of Stated-owned enterprises is a significant social issue and many scholars are also claiming its improvement these days. Governance of the stated-owned enterprises requires rules different from those applied to the private listed companies because of the lack of capital market, management markets. OECD issued ‘OECD Guidelines on Corporate Governance of State-owned Enterprises’ in 2005 for state-owned enterprise’s publicness ofter ‘OECD Principle of Corporate Governance’ was issued in 2004. It gave a profound impact on the enactment of the ‘Act on the Management of State-owned Enterprises in January, 2007 and it has been applied to most of the management of State-owned Enterprises in Korea since then. The Act, however, fails to take into consideration the differences in the legal and organizational forms of the SOEs, which may cause conflicts and confusion in the course of operation. We can think of ways to introduce Internal Control System and the Worker Director System as a solution to this problem. Internal control system is broadly defined as a process, effected by an entity’s board of directors, management and other personnel, designed to provide reasonable assurance regarding the achievement of objectives in the following categories: (1) Effectiveness and efficiency of operations. (2) Reliability of financial reporting. (3)Compliance with applicable laws and regulations. And the Worker Director System is that the worker who is elected director of the board can exercise the voting rights regarding important management matters such as business plan, budget, revision of the articles of corporation, disposition of property, etc. as provided the law and the articles of corporation.

공기업은 우리 경제에서 중요한 위치를 차지하고 있으면서도, 낙하산 인사의 문제, 방만 경영의 문제, 부채증가의 문제 등 많은 문제점이 지적되고 있다. 이러한 점 때문에 여러 정부에서 공기업의 개혁을 추진하였지만 큰 성과를 거두지 못하고 있다. 공기업 개혁과 관련하여 논의되는 문제의 하나가 지배구조 개선에 관한 것이다. 왜냐하면 기업의 특성상 문제가 발생한 후 사후적인 제재보다는 사전에 문제의 발생을 막는 것이 합리적이기 때문이다. 이러한 점을 고려하여 OECD는 2005년에 공기업지배구조에 관한 가이드라인을 제정하였다. 동 가이드라인은 사기업을 전제로 제정된 OECD기업지배구조원칙을 바탕으로 하여 공기업에 특유한 소유관계를 고려한 내용들로 구성되어 있다. 우리나라도 OECD 공기업지배구조 가이드라인을 바탕으로 2007년에 ‘공공기관운영에 관한 법률’을 제정하였다. 동법은 OECD 공기업지배구조 가이드라인과 마찬가지로 상법상 주식회사의 지배구조를 전제로 하고 있다. 공공기관운영에 관한 법률을 제정하여 시행하고 있음에도 불구하고 공기업과 관련한 문제는 계속하여 지적되고 있다. 이러한 문제점은 공공기관운영에 관한 법률에서 규정하고 있는 공기업의 지배구조가 효과적이지 못하기 때문이다. 이는 공기업의 특성을 고려하지 않고 사기업에 적용되는 지배구조의 틀을 그대로 답습하고 있기 때문이다. 공기업의 주주인 정부는 사기업의 주주와 같이 기업과 운명을 함께 하지 않는다. 따라서 정부는 유능한 경영진을 선임하고 경영진을 감시할 동기가 사기업의 주주에 비하여 훨씬 적을 수밖에 없다. 그럼에도 불구하고 사기업의 주주와 같은 역할을 할 것을 기대하고 있는 것이 공공기관운영에 관한 법률의 가장 큰 문제점이다. 이러한 점을 바탕으로 공기업 지배구조의 특성을 파악한 후에 OECD 공기업지배구조 가이드라인과 공공기관운영에 관한 법률상 공기업 지배구조에 관한 주요내용을 살펴보고, 이를 바탕으로 공기업지배구조의 개선을 위한 바람직한 방안으로서 내부통제시스템의 도입과 근로자 이사제의 도입가능성을 검토하였다.
