This Article reviews the 2016 Korean Corporate Law Amendment Proposal(hereinafter “2016 Proposal”) concerning Economic Democratization. Currently, the 2016 Proposal is submitted to the National Assembly by the opposition parties. The key contents of the 2013 proposal include: the separate election of director who will be a member of audit committee in the listed corporation and a voting right limitation to any shareholder who holds more than 3/100 of the total issued and outstanding shares; introduction of the cumulative voting system and a mandatory electronic voting system in the listed corporation; and introduction of double derivative suits. Ironically the 2016 Proposal was published by the government for the same purpose and the contents at the beginning of new Park Geun-hye government in 2013. However, the 2013 Proposal was strongly opposed by economic groups contending that economic groups threatened management rights and shrink corporate activities, and failed to pass the National Assembly because of the lack of cooperation from the opposition parties. In 2016, almost identical content was introduced by the opposition parties, but this time, it is expected that the bill will be difficult to pass because of objections from the ruling party. Under the circumstances, it is not desirable for the revision of the corporation law to be objectionable according to the subject of the initiative. This paper as a whole examined the legal implications of the 2016 Proposal and some core legal issues related to Korean corporate law, which includes as follows: problems of severely unbalanced use of corporate forms, making a independent code of corporate law, difficulties in corporate governance, revitalization of the electronic shareholder's meetings, fiduciary duty of the controlling shareholders. Finally, the author of this paper proposed the specific considerations and concerns regarding individual content and issues were presented.

이 논문은 경제민주화와 관련된 2016년 회사법 개정안의 타당성을 검토한 것이다. 현재 야당을 중심으로 ‘경제민주화’라는 이념 하에 일정규모(자산 2조원) 이상의 상장회사에 있어서 감사위원인 이사의 분리 선출과 의결권제한, 소액주주의 신청에 의한 집중투표제의 의무화, 전자투표제의 단계적 실시, 다중대표소송 도입 등을 주요 내용으로 한 상법개정안이 국회에 발의되어 있다. 아이러니하게도 위 개정안은 2013년 박근혜 정부가 출범하고, 동년 7월에 정부안으로 대주주와 경영진의 전횡을 견제하고, 소액주주의 권한을 강화한다는 취지로 제안되었지만 경제단체들이 경영권위협, 기업 활동의 위축 등을 주장하면서 강력히 반발하였고, 야당의 협조를 얻지 못해 국회를 통과하지 못한 의안이다. 2013년에는 박근혜 정부가, 2016년에는 야당에 의하여 거의 동일한 내용이 발의되었지만, 이번에는 주로 여당의 반대로 법안의 통과가 순탄치 않을 전망이다. 내용의 당부를 차치하더라도 상법개정이 발의주체에 따라 ‘반대를 위한 반대’가 되는 것은 결코 바람직하지 않다. 따라서 본 논문은 최근 많은 논란이 되고 있는 김종인 의원 등 122명의 야당 국회의원이 발의한 2016년 회사법 개정안의 제안이유와 회사법상 의미, 우리나라 지배구조의 난맥상으로 인한 회사법 개정의 어려움, 개정안의 개별적인 내용과 문제점에 대한 구체적인 검토와 그 대안을 제시하였다.
