- Rotterdam rules made the articles for the right of control newly without the articles for Hague-Visby rules, Hamburg Rules. The right of control is the Gestaltungsrecht that the controlling party may modify unilaterally instructions in respect of the goods that do not constitute a variation of the contract of carriage and replace the consignee by any other person and require delivery of the goods at a scheduled port of call of, in respect of inland carriage, any place en route. The shipper, the holder of bill of lading, the consignee shall be entitled to give the carrier instructions in relation to the contract of carriage. The right of control is a separate transaction from the sales contract on which it may be based, but the shipper can make the right of control if the consignee do not fulfil his obligation under sales contract. The shipper may suspend the performance of his obligations if, after the conclusion of sales contract, it becomes apparent that the other party will not perform a substantial part his obligations. To make the right of control, the shipper must immediately give notice of the suspension to declare the contract avoided to the consignee.

- 2009년에 제정된 로테르담 규칙은 국제해상운송에서 새로운 역할을 하게 될 것이다. 로테르담 규칙의 처분권에 대한 규정은 헤이그 규칙, 헤이그 비스비 규칙, 함부르크 규칙에 없는 규정으로 이에 대한 심도 있는 분석이 필요하게 되었다. 본 연구는 처분권의 법적특성을 분석하기 위해서 인코텀즈 2010, 비엔나협약, UCP 600, 우리나라 상법, 우리나라 대법원 판례를 통해서 규명하였다. 처분권의 법적 특성을 형성권, 수출입매매계약과 처분권의 법률관계, 처분권과 소유권, 점유권의 법률관계, 처분권 이전과 위험이전의 불일치, 처분권과 운송물인도청구권, 운송물수령의무의 관점에서 규명하였다. 처분권의 이전시기는 인코텀즈 2010, 비엔나협약 제67조의 규정에 따른 위험의 이전시기와 일치하지 않는다. 따라서 CFR과 CPT무역 조건에서 송하인이 처분권을 행사하면 수하인이 부보한 보험의 효력은 상실되는지, 피보험 이익은 누구에 귀속되는지에 대한 문제가 발생한다.
