This study is to investigate the legal issues of switched B/L according to the diversification of international commercial transaction. Switched B/L is a second set of bills of lading issued by the carrier (or by the carrier’s agent) in substitution for the bills of lading issued at the time of shipment. B/L substituted by a carrier for an original B/L in accordance with the terms of a letter of credit (L/C). In a back-to-back L/C, for example, the original B/L (which shows the actual supplier as the shipper) is switched with another B/L that shows the middleman as the shipper and protects the identity of the actual suppler. The switched B/L which was issued by third party other than the carrier can not be effective as that B/L doesn’t satisfy the mandatory requirement of Commercial Law that only the carrier or the agent of carrier can issue B/L. In most cases, the carrier has no choice but to issue the switched B/L without collecting the original B/L for fear of hurting the relationship with the intermediary traders. This practice of issuing more than two sets of B/L may pose a potential risk to the carrier. The ship agent may be instructed by his principal to issue a second set of bills of lading without collecting the first set, and may be offered a letter of indemnity by the principal, or by the party who receives the second set of bills.

Switched B/L은 원래 발급된 B/L은 유효한 채 선적·양하지 변경 또는 수하인의 편의상 화물분류를 위해 Switched B/L의 발급을 요청하는 것으로 원B/L이 이중으로 발급될 위험을 발생시키고 있다. 국제상거래형태가 복잡하거나 화물 양하시 실수요지 별로 화물매매가 이루어지는 경우 많이 발생하는 형태로 필히 최초로 발행된 원B/L을 회수하고 관련 당사자의 보증서를 징구한 후 Switched B/L을 발행해야 한다. 중계무역의 행태가 다양화해지고 있어 이들 증권의 작성이나 발행절차 및 방법도 아주 다양하다. 일부 중계업자 또는 운송인 때문에 Switched B/L 사고가 많이 발생하고 B/L발행 비용 또는 일반 운송증권 발행비용보다 높아지는 경우가 발생하고 있다. 운송인은 중계무역업자와 거래관계에 따라 부득이 하게 원B/L을 회수하지 않은 상태에서 Switched B/L을 발행하고 있으며, 하나의 화물에 대하여 두 개 이상의 B/L이 존재하는 것은 운송인에게 매우 위험한 상황이 발생할 수 있는데, 이에 대한 법적 문제점을 분석하여 그 대응방안을 모색할 필요가 있다.
