This study attempts to verify the legal nature of the instrument called Refund Guarantee(R/G) which is necessary for shipbuilding contracts through cases. R/G is an instrument to guarantee the refund of pre-delivery installments received by the applicant (shipyard) to a beneficiary (ship-owner, shipping company) under a shipbuilding contract due to the applicant’s non-performance of contractual obligations. In general, R/G is classified into bank guarantee and first demand guarantee. According to the analysis results, judgment consequences are verified that R/G is considered as a first demand guarantee. In case of that the guarantee has a sentence for payment with “irrevocably, unconditionally” or contains an undertaking to pay “on demand”, Paget’s presumption is applied as a strong presumption where the obligation to pay is expressed to be “on demand” in English law. While the guarantee is regarded as a first demand guarantee based on the nature of demand guarantee such as the principle of autonomy or independence in case of no obvious evidence for the abuse of a right in Korean law. Thus, because the cases show that the R/G as a first demand guarantee protects beneficiary under the nature of independence, the issuing bank of R/G should be careful to issue the R/G. Therefore, this study suggests some implications for the R/G issuance based on the results of cases

본 연구에서는 선박건조계약 시 필요한 선수금환급보증이라는 보증서의 법적성질을 판례 분석을 통해 고찰하였다. 선수금환급보증은 금융기관이 조선소의 의뢰에 따라 발주자(선주)에게 발행하는 증서로 선박건조계약에 근거하여 조선소가 계약을 불이행할 경우 발주자(선주)가 조선소에 기 지급한 선수금의 반환을 요구할 경우, 금융기관이 기 지급된 선수금을 환급해 줄 것을 약속하는 증서로 일반적으로 은행보증과 독립적 은행보증의 형태로 구분된다. 판례 분석결과 선수금환급보증은 독립적 은행보증으로 보는 판시 추이를 확인할 수 있었다. 선수금환급보증서의 내용에 ‘취소불능, 무조건적인’ 지급이라는 문구가 있는 경우 또는 on-demand라는 문구가 있는 경우, 영국법에서는 선수금환급보증의 독립적 은행보증의 충족 요건이라고 할 수 있는 Paget’s presumption의 다른 조건들의 충족여부가 크게 영향을 주지 않는 엄격한 판결이 내려지고 있음을 확인하였고, 한국법에서는 독립적 은행보증의 본질적 성질인 독립성과 추상성에 의거하여 권리남용의 여부를 판단하여 권리남용의 명백한 증거가 없는 경우 독립적 은행보증으로 판시하고 있음을 확인하였다. 이렇듯 대부분의 판례가 선수금환급보증서의 법적 성질인 독립성을 적용한 결과로서 수익자를 보호하는 결과를 가져오고 있는 가운데, 선수금환급보증을 발행하는 은행의 세심한 주의가 필요하다. 이에 본 연구는 선박건조계약에서 선행되어져야 하는 선수금환급보증의 원활한 발행과 운용을 위한 시사점을 제시하였다.
