As public investment instrument popular around the globe, investment funds boast a huge scale with earnings coexisting with risk. In major international financial scandals and crises, investment funds are always involved due to the imperfection of the “fiduciary” regime. Having witnessed rapid development in recent years, Chinese investment fund market also faces various problems and challenges. Starting from scratch, Chinese regulatory legislation of securities investment funds and private placement funds is also a discretional process for discovery and tackling of problems, and to learn from the legislative experiences of advanced investment fund markets including the US and the UK and offshore fund markets including the Cayman Islands is a must choice for the regulations of Chinese investment funds, the key to which is to have the legislation of investment funds supported by the fiduciary system based on risk management. Furthermore, to strengthen international regulatory cooperation is an integral part of securities investment fund regulation of nations including China.

세계적으로 널리 알려진 대중화 재산관리 수단인 펀드투자는 규모가 크고 모험과 수익도 병존한다. 국제금융시장추문과 국제금융위기 속에는 늘 펀드투자가 연루되어 있다. 그 근원은 “직업윤리” 제도의 결실(缺失)에 있다. 최근 몇 년 동안 중국투자펀드시장은 급속하게 발전하여 여러 가지 문제와 도전도 마찬가지로 존재한다. 중국의 증권투자펀드와 사모펀드감독 관리입법은 무에서 유로 문제를 해결하고 지속적으로 기회를 보는 하나의 필연적인 선택과정이다. 영국, 미국 등 나라들의 발달한 펀드시장과 케이맨제도 등 역외시장(Off-Shore Market) 의 감독관리입법경험을 거울로 삼는 것은 중국펀드감독관리입법의 필연적인 선택이며 그 관건은 펀드감독관리입법을 위험관리에 근거한 직업윤리제도의 기초상에 세워야 한다. 국제 감독관리합작을 강화하는 것은 중국을 포함한 각국의 펀드 감독관리를 완벽하게 하는 필요한 구성부분이다.
