This study deals with Government-to-Government Transaction service, a newly-introduced trade promotion facilitation by KOTRA, focusing specifically on issues such as transaction structure, allocation of obligation, and liability among parties. After publishing a prior paper on GtoG transactions in 2012 June, I was given a valuable opportunity of getting involved and actively participating, as a financial and legal advisor, in the real development of GtoG transactions between Korea and Peru and another country by KODITS (Korea Defense Industy Trade Support Center). In the course of lengthy negotiations and complicated finalizations of contracts, participants, including myself, often found that allocation of obligation or share of risk among parties are the key issues in military defense GtoG deals. Along the way, there has been little difference in opinion that buyer side is still the same as most capital goods export transactions. It, however, turned out that allocating risk and obligation between Korean government, through KOTRA, and Korean exporting firm was very conflicting and finding a mutually agreeable solution was difficult. It also may bring about related issues of how to structure transactions and how to apply them in the contract. Research shows that how to set up transaction structure and define obligations and liability varies in the GtoG arena from country to country. Unlike U.S. FMS scheme, which allows U.S. government to avoid assuming most of seller's obligation, Canadian Commercial Cooperation(CCC)'s prime contractor service turned out to be a very aggressive support program, in which CCC assure obligations and liability as the prime contractor and give diverse assurances scheme like contractual liability and umbrella warranty amounting higher over the commercial credit line. This observance is helpful for defining and structuring Korea GtoG military transactions of year 2012 in terms of obligation and liability. Also this study explores and explains how the Korean government sets proper procedure to warrant that needs for GtoG support for specific export projects to be established pertinently and KOTRA, through an ad hoc committee, assesses capacity of exporting firm to handle and perform that project duly and adequately.

2012년부터 본격적으로 시작된 우리나라 방산수출 정부간(GtoG) 거래에서는 우리 정부가 계약 당사자로 구매 국과 수출계약을 체결하는 바, 우리 정부가 구매국 및 우리 수출기업과 함께 어떤 거래구조를 형성하느냐가 중요한 문제가 된다. 특정 거래구조를 채택하면 각종 위험 파악 후 분담이나 전가를 계약에 반영할 때에 우리 정부가 부담하게 되는 의무 내지 책임 범위를 어디까지로 할 것인지도 마찬가지로 중요하다. 이 논문은 미국의 FMS 제도와 또다른 국가인 캐나다의 정부간 거래 제도를 거래구조(transaction structure) 및 동 구조 하에서 당사자의 의무와 책임(obligation and liability) 문제를 고찰하였다. 미국 FMS제도 하에서는 협상력 우위에 있는 미 정부가 표준품 제공 의무만을 부담할 뿐 계약 이행 관련 혹은 계약관련 책임으로부터 면제되는 반면, 다른 방산수출 선진국인 캐나다의 제도는 오히려 정부가 적극적인 각종 보증을 제공하고 구매 국 수요에 맞게 개별적인 계약을 체결하고 다양한 의무를 적극 부담하는 것으로 조사되었다. 한편, 현행 우리 제도상 가능한 거래구조와 특정 거래구조 선택 시 고려할 사항, 그리고 선택된 거래구조하에서 채택 가능한 우리 정부의 의무와 책임 내용을 검토해 보았다. 한편 무역지원(trade promotion) 제도로서 정부간 거래는 지 원 필요성 있는 사업에 지원되어야만 그 국민경제적 긍정적 효과가 있음을 감안하여 실시된, 수출기업 이행능 력 및 지원필요성 심사에서 어떤 요소를 조사, 심의하고 합리적 절차를 거칠 것인지에 대하여도 검토하였다.
