The Free Trade Agreement(FTA) is the agreement that gives related state parties to exclusive trade benefits. Today, many countries make every effort for these agreement conclusion. Furthermore, this FTA represented the regionalism other than cosmopolitanism is the global flow. According to these global flow, China and Korea also attempt to make an first effort for the formation of the FTA, at 5. 12, 2012. It is various reasons against the efforts for the conclusion of the FTA between two countries. The important one of them is the one of economic sphere. Upon these background, I will study on the basic elements of the two countires related on the conclusion of the FTA. Furthermore, above all things, I think that if the people of the counter country is unlawful, it is the most important thing that we search for the reasonable solving method by the investor state dispute(ISD) system. And I hope that we must be prescribe the fundamental clauses about good methods for solving ISD problems. Conclusionally, I will suggest on the following the several points. Firstly, if the FTA enter into force between the two countries of korea and china, we are obliged to demand on opening the market wholly and free tax in export-import trade as a principle matter. But I think that china looks like passive attitude on these problems. Thus, we are strive for the entering into this agreement by the next methods. On the most sensitive problems, we must be entered into this agreement after we consider the most ideal methods reflected the domestic people’s though. On the other hand, about the problems with the same opinions between two countries, we must be entered into the FTA, fast as soon as we can. Secondly, against the sharply divided problems between two countries, we must be reflect on the differential points related to the politics, economy, society and culture, etc. Especially, in the economic sphere, because of we knowing the difference on the several department of agriculture, manufacture, service etc, we need to consult with two countries, systematically. Also, we must demand on regulating the clause related to the ISD system, not abstractly and comprehensively but concretely and individually. If not, we can not be well protected against the violation of FTA of the other party.

오늘날 FTA로 대표되는 지역주의(regionalism)는 세계화와 함께 국제 경제를 특징짓는 뚜렷한 조류가 되고 있으며, WTO 출범 이후 더욱 확산되고 있다. 이러한 흐름 속에 우리나라와 중국은 2012년 5월 2일 한중 FTA의 개시를 선언하였고, 이후 제1・2차 협상이 개최되었다. 이처럼 양국은 FTA의 체결에 적극적인 관심을 보이고 있고 향후 양국간 FTA는 체결될 것으로 예상된다. 하지만, 한중 FTA의 체결은 양국의 국익이 걸려있는 문제로 그 체결에는 신중을 기하지 않으면 안 될 것이다. 이에 본 논문은 한국과 중국의 FTA의 체결을 위한 양국의 배경 등을 심도있게 검토하고, FTA의 체결시 가장 큰 문제는 양국간 체결한 FTA를 위반할 경우 과연 어떻게 처리하는 것이 바람직할 것인지, 즉 투자자와 국가간의 분쟁(Investor State Dispute; ISD)이 발생할 경우 어떻게 처리할지, 이를 위하여 한・중 FTA에 ISD 해결을 위한 어떠한 규정을 두는 것이 바람직한지에 대하여 검토하고자 하였다. 그 결과 양국은 FTA체결시 각국 내국민의 입장을 충분히 반영하여 동 협정을 체결하여야 할 것으로 보인다. 이를 위해서는 민감한 사안과 공감하는 사안을 구별하여 전자의 경우에는 시간을 두고 신중한 검토를 하고, 후자의 경우에는 신속하게 FTA를 체결하는 것이 바람직하다고 본다. 또한 FTA의 조항은 포괄적, 추상적으로 규정할 것이 아니라 개별적, 구체적으로 규정하여야 할 것으로 보인다. 그래야만 향후 분쟁이 발생할 때 문제의 해결을 용이하게 할 수 있다고 판단되기 때문이다. 특히, ISD 관련 조항에 대해서는 구체적이고 세부적으로 규정하여야 할 것이다.
