The history of agricultural cooperative was the product of political confliction in late 1940s. In actual farmers have been represented not only a liberal political inclination, but also a social class of economic poberty in history. Because political circles have maintained the trade connections of an implied promises between political votes and economic incentives with farmers. For example, almost of politicians have tried to increase a political supports from farmers, and put forth the waiver of farmers' debts or reform of agricultural cooperative as election pledges. But the population of agricultural is less seven percentage, and the increased political influences made a fundamental reformation of agricultural problems misdeemed. In actual the legal entity of agricultural cooperative has been a profitable corporation, but it has been failed in management as non-profit organization. The CEOs(president including) of Cooperative have seeked for their rents rather than the interests of cooperative's members. So the governance of Cooperative should be reformed a voting power of stock holder in according to the legal entity of a limited liability doctrine.

농업협동조합의 연혁은 정치적 이해갈등의 산물이었다. 농민은 보수적 정치성향에 기초한 경제사회적 빈곤층을 대표한다. 때문에 정치권은 농민들과 정치적 지지와 특정한 경제적 인센 티브의 거래관계를 유지하였다. 예컨대, 대다수 정치인은 농민의 정치적 지지를 증대하고자 농가부채 탕감이나 농협개혁을 선거공약으로 제시하였다. 더구나 현재 농업인구는 지속적으로 감소하여 7% 정도임에도 장기간의 정치세력에 포획되었을 뿐만 아니라 근본적인 농협개혁방 안도 임기응변에 그치고 말았다. 따라서 실제 농업협동조합의 법적 실체는 영리법인임에도 불구하고, 비영리 조합으로 운영 되기 때문에 경영의 실패를 초래하였다. 그 원인은 농업협동조합의 CEO 또는 단위조합장들은 조합원의 이익보다는 재선을 위한 지대추구(rent seeking)에 역점을 두었다. 농협조합은 주식 회사의 법적 실체에 따라서 주주의결권을 보장하고, 소유와 경영의 분리에 의한 유한책임원칙 에 입각한 기업지배구조를 개혁해야 한다.
