In operating IJV, it is very important to understand the strategic orientation of the other partner, especially that on the ownership structure. This paper adopted the real option perspective and institutional perspective to compare and to analyze the strategic orientation of the U.S and Japanese partner. According to the real option theory there are three options embeded in the IJVs ; option to expand, option to defer(the investment), and option to abandon. In this paper the factors that influence the choice of the three strategies were explored. The empirical results using Multinomial Logit Analysis showed that the U.S. partner acquired the local parter when there were growth opportunity and high profitability and that the Japanese partner sold the ownership to the local partner when the profitability of the firm was low. In addition it showed that not only the foreign partner but also the local partner tended to acquire the other partner when there were growth opportunity and high profitability.

본 논문에서는 합작 투자 기업을 불확실성에 대한 방어 및 활용 메커니즘으로 파악하는 실물 옵션 관점과 특정 국가의 제도적, 문화적 환경이 경영자의 전략적 관점에 영향을 미친다는 제도화 이론을 도입하여 합작 형태로 해외 시장에 진입한 미국과 일본 기업의 지분 인수, 지분 유지, 지분 매각에 영향을 미친 요인을 분석하고 국가별 전략 패턴을 도출해 보고자 하였다. 이를 위하여 본 연구에서는 한미 합작, 한일 합작 기업의 지분 변화를 다항 로짓(Multinomial Logit) 방법을 사용하여 비교 분석하였다. 분석 결과 미국 기업의 경우에는 산업 성장성, 산업 수익성이 높은 경우에 현지 파트너의 지분을 인수하였고, 일본 기업의 경우에는 기업 수익성이 낮은 경우에 현지 파트너에게 지분을 매각하는 현상을 보였다. 한편 미국과 일본 파트너 모두 수익성과성장성이 높을 경우에도 현지 파트너에게 지분을 매각하는 현상을 나타내어, 외국인 파트너뿐만 아니라 현지 파트너도 합작 기업을 실물 옵션으로 활용하는 경향이 있음을 보여주었다.
