The legal system of Britain overseeing its financial industry has evolved for over three centuries from its inception in a Royal Charter in 1697 to the enactment of the Financial Services and Markets Act, or FSMA, in 2000, The FSMA in particularis now recognized by industry experts as a revolutionary-yet-outstanding law. Some of the biggest catalysts cited for the UK to have such a revolutionary law are the country's power transition that took place in 1997 and the fact that the country at that time was engaged in fierce competition with other major financial markets and a keen recognition that a decline of its financial industry, which accounted for a crucial part of its overall economy along with its tourism industry, would do tremendous damage to the British economy as a whole. It is from this background that Britain felt the need to establish a single legal system that could regulate all of its diverse financial sectors; and, as a result the FSMA was enacted and the Financial Services Authority (FSA),an integrated government organization overseeing the country's whole financial industry, was created based on the newly enacted law. This study overviews the background of the enactment of the FSMA of 2000 in Britain, which has a long history of evolution with respect to its legal system that oversees its financial industry and markets, examines diverse regulating devices used to fulfill the new law's purposes, compares them with such devices of Korea's Financial Investment Services and Capital Market Act (FSCMA), and finally attempts to find elements that may be of benefit for Korea to adopt. While some experts in Korea consider the FSCMA to be a legal system that has unified all legal devices regulating diverse financial sectors, this study concludes that a possibility remains that such opinions may prove to be wrong, at least in some cases.

영국은 1697년법부터 2000년 금융서비스ㆍ시장법(Financial Services and Markets Act, FSMA)의 제정까지 금융법제에 관한 오랜 역사를 가지고 있다. 이 중에서 금융서비스ㆍ시장법은 획기적인 법으로서 평가를 받고 있다. 영국이 이와 같은 획기적인 입법을 하게 된 배경에는 1997년의 정권교체가 있다. 그리고 영국의 금융시장은 다른 선진국의 금융시장과 치열한 경쟁을 지속하고 있고, 금융산업은 관광산업과 더불어 중요산업의 위치를 차지하고 있기 때문에, 금융산업이 사양화 될 경우 영국 경제에 큰 손실이라는 판단도 또 다른 입법의 배경의 하나이다. 그리하여 영국은 전 금융업종을 규율할 수 있는 단일법제인 금융서비스ㆍ시장법을 성립시켰고, 법적 근거에 입각한 단일 금융감독기구(FSA)를 창설하였다. 본 논문에서는 금융법제에 관한 오랜 역사를 가지고 있는 영국의 금융서비스ㆍ시장법의 제정배경을 구체적으로 살펴보고, 동법의 제정목적을 달성하는데 필요한 다양한 규제체계를 우리나라의 자본시장법과 비교ㆍ고찰한 후 우리 법제에 도입 시의 고려사항을 제시하여 보았다. 검토의 결과 우리나라에서는 금융서비스ㆍ시장법을 평가함에 ‘모든 금융법제를 일원화한 법’이라는 인식이 강한데, 이러한 인식이 반드시 올바르다고 할 수 없다는 사실을 알 수 있었다
