Hallucinations in Large Language Model (LLM)-generated financial summaries pose substantial risks to algorithmic trading systems, yet most existing studies feed unverified model outputs directly into trading pipelines. This paper proposes an end-to-end framework that converts unstructured financial news into reliable quantitative trading signals while systematically controlling hallucination risk. The framework combines a finance-specific Chain-of-Density (CoD) summarization agent with a three-layer hallucination verification pipeline comprising TF-IDF-based evidence retrieval, deterministic numeric validation, and DeBERTa-v3-large NLI-based semantic consistency verification. Verified signals are subsequently processed by a block-memory trading agent with configurable rebalancing windows. Ablation experiments across MSFT, BA, and DIS spanning 2019–2021 demonstrate that full verification (Exp3) consistently outperforms unverified baselines across cumulative return, Sharpe ratio, Sortino ratio, and MDD. The 20-day memory window yields optimal risk-adjusted performance across all tickers, confirming that hallucination control and memory configuration jointly determine trading pipeline reliability.

공개호가시장(open outcry market)에서는 모든 거래소에서 주문은 사람에 의하여 전달․체결되었다. 그러나 전자거래플랫폼의 등장에 기인, 주문의 전달․체결 수단은 사람에서 컴퓨터로 대체되었다. 오늘날 알고리즘매매와 DMA는 각국 거래소에서 환영받고 있다. 이는 통상 그들이 막대한 거래량을 기록하기 때문이다. 한국거래소와 금융감독원은 이들을 환영하지 않는 것으로 보인다. 이 논문은 동일한 객체에 대한 국내외의 차이가 발생하는 원인으로 선물시장수탁계약준칙 제15조 제2항 등을 지적한다. 동 조항들은 CME, EUREX 등 선도적인 거래소들의 입장과도 다르고, NYSE 규정 제390조가 폐지되면서 국제적으로 DMA 허용 추세가 무르익고 있는 점과도 다르며, Reg. NMS나 MiFID의 관점에서도 다르다. 따라서 알고리즘매매와 DMA에 관하여 국제적 추세에 맞는 규정의 정비를 주장하고 있다.

In the past, an order used to be executed by men in any stock exchanges or derivatives exchanges. It is the so-called "open outcry" market. Nowadays, however, computers have replaced men in a vast majority of order executions in many exchanges thanks to the development of electronic trading platform. Today algorithmic trading and direct market access (Hereinafter "DMA") are quite common in many exchanges. Many exchanges welcome algorithmic traders and DMA, because they are typically high volume customers. Yet Korea Exchange (Hereinafter "KRX") does not seem to welcome algorithmic traders and DMA customers. This article intends to examine what rules and regulations result in such a different stance on DMA. As a conclusion, this article suggests amending KRX articles that conflict with DMA.

알고리즘을 통한 자동매매가 자본시장의 표준적 거래 방식으로 자리 잡으면서, 민법이 전제해 온 의사표시의 기본 구조와 실제 거래 사이의 간극이 커지고 있다. 특히 고빈도․고속 거래에서는 당사자가 개별 주문의 가격․수량․시점을 구체적으로 인식하지 못한 채 알고리즘과 시스템에 거래를 맡기기 때문에 착오와 상대방 인식이라는 전통적 의사표시상의 하자 법리를 그대로 적용하기 어렵다. 본 논문은 싱가포르 B2C2 Ltd v Quoine Pte Ltd 사건을 출발점으로, Chwee Kin Keong v Digilandmall.com Pte Ltd 판결에서 형성된 보통법․형평법상 일방적 착오 이론이 자동화된 알고리즘 거래 맥락에서 어떻게 재구성되었는지를 분석하고, 그 함의를 우리 민법 제109조의 착오 이론과 비교․조정하는 데 목적을 둔다. 이 판결은 상대방 인식의 주체를 계약 명의상 당사자가 아니라 알고리즘을 설계․운용한 프로그래머로 전환하면서도 실제 인식이 없는 경우에는 보통법상 무효를 부정하고, 추정적 인식이 있다고 하더라도 형평법상 비양심성이 인정되지 않으면 취소를 허용하지 않는 기준을 제시하였다. 나아가 deep price 전략, Quoter Program 장애와 강제청산 로직의 결함, 시장과 제3자의 신뢰 보호를 함께 고려하여 비정상 체결에 대한 규범적 평가틀을 제시한 점에 의의가 있다. 이에 비추어 본 논문은 우리 민법 제109조 해석에 있어 프로그래머 및 시스템 설계․운영자의 인식을 착오 성립 단계에 직접 편입하기보다는 이미 인정된 착오 취소 이후 효과 조정과 손해배상 책임, 위험배분을 설계하는 기준으로 활용할 것을 제안한다. 아울러 알고리즘 거래에서 문제되는 위험을 시스템 리스크, 전략 리스크, 시장 리스크로 나누어, 명백한 시스템 오류에 기초한 비정상 거래에 한하여 엄격한 요건 하에서 오류거래 취소 및 정정을 예외적으로 허용하고, 시장 리스크와 전략 리스크에 속하는 손익은 자동매매를 선택한 당사자의 자기책임 영역으로 남기는 방향의 위험배분 원칙을 제시한다. 마지막으로 전자상거래법, 전자금융거래법, 자본시장법, 거래소 업무규정 등 기존 금융규제법제를 전제로 프로그래머 및 운영자의 설계․검증․모니터링 의무를 명시하고, 위험 유형별로 취소․정정․가격조정․손해배상 구조를 정교화함으로써 민법상 착오 이론과 금융규제법제가 상호 보완적으로 작동하는 예측 가능하고 일관된 알고리즘 거래 위험배분 체계를 구축할 수 있음을 논증하였다.

As algorithmic trading has become a core infrastructure of modern capital markets, the traditional civil law framework of formation, declaration, and recognition of intent increasingly diverges from actual trading practice. In particular, in high?frequency and high?speed trading environments, parties delegate the initiation and execution of individual orders to algorithms and systems without concretely perceiving the price, quantity, or timing of each transaction, which makes it difficult to apply classical doctrines on mistake and counterpart’s knowledge to automated trading. This article takes the Singapore case of B2C2 Ltd v Quoine Pte Ltd as its starting point and examines how the doctrine of unilateral mistake in common law and equity, as developed in Chwee Kin Keong v Digilandmall.com Pte Ltd, has been reconstructed in the context of automated algorithmic trading, before exploring its implications for the interpretation of Article 109 of the Korean Civil Code. The B2C2 decision shifts the relevant knowledge holder from the contracting party named on the screen to the programmer who designed and operated the algorithm, yet denies common?law voidness absent actual knowledge and refuses equitable rescission where only constructive knowledge is shown but unconscionability is not made out. At the same time, the court treats the realization of system risk?such as the failure of the Quoter Program and defects in the forced?liquidation logic?rather than the opportunism of the deep?price strategy as the main cause of the aberrant trades, and gives substantial weight to the need to preserve market and third?party reliance against ex post mass cancellation by the exchange. Building on this analysis, the article argues that in Korean law the knowledge of programmers and system designers should not be incorporated directly into the constitutive requirements of mistake under Article 109, but should instead operate as a normative factor in adjusting the effects of an already established avoidance, in particular the allocation of loss and risk among professional intermediaries and trading parties. It further proposes a tripartite distinction between system risk, strategy risk, and market risk in algorithmic trading, under which rescission or correction of erroneous trades would be exceptionally available, under strict conditions, only where an obvious system error ispresent, while gains and losses falling within ordinary strategy and market risk would remain within the self?responsibility sphere of those who choose automated trading. Finally, by linking this risk?based framework to existing sectoral regulation?such as the Electronic Financial Transactions Act, the Capital Markets Act, and exchange rules?and by specifying design, testing, and monitoring duties for programmers and operators, the article suggests a coherent allocation?of?risk regime in which the civil?law doctrine of mistake and financial regulatory law function in a complementary and predictable manner in the age of algorithmic trading.

EU의 제2차 금융상품시장지침(MiFIDⅡ)상 알고리즘거래 규제에 관한 분석 및 시사점

알고리즘거래(algorithm trading)는 증시의 기관화, 전산화 및 국제화 추세에 따라 투자자의 매매효율성과 안정성을 제고시키는 수단으로 인식되면서 빠르게 확산되어 왔다. 그리하여 미국의 경우는 주식과 선물시장에서 알고리즘을 결합한 직접시장접근((direct market access, DMA)방식을 이용한 매매가 차지하는 비중이 50% 이상에 달하였고, EU에서는 알고리즘을 이용한 초단타매매(high frequency trading, HTF)가 주문수량 (orders) 기준으로는 57%를 나타내고 있다. 알고리즘거래에 대하여는 긍정론과 부정론이 교차되고 있는 가운데, 2010년 5월 6일 미국 증권시장에서 다우존스(Dow Jones)지수가 일시적으로 1,000p 가까이 폭락하는 사태(flash crash)가 발생하였다. 이에 따라 각국은 알고리즘거래의 부작용을 최소화할 수 있는 방안을 강구하고 있다. EU의 경우도 MiFIDⅡ의 제정을 통하여 발생가능한 문제점을 예방하고자 하고 있다. 따라서 이 글에서는 EU의 MiFIDⅡ의 내용을 분석한 후 우리나라에 시사하는 바를 제시하였다. 입법적으로는 ①자본시장법상 정의규정의 마련, ②동일장소서버지원서비스(co-location) 관련 규정의 도입, ③알고리즘거래로 인한 거래정지(circuit break)제도의 도입, ④알고리즘을 이용한 시세조종(manipulation) 등 불공정거래의 방지책 강구, ⑤직접 전자적 접근(direct electronic access, DEA) 및 스폰서 접근(sponsored access)에 관한 규정의 도입 및 감시체계의 구축 등을 제안하였다. 그리고 추가적으로 감독체제의 정비 시 고려사항을 제시하였다.

Algorithmic trading has been expanding rapidly with the increased recognition of its ability to improve trading efficiency and reliability for investors in accordance with the institutionalization, computerization, and internationalization of stock markets. Consequently, in case of the USA, algorithmic trading combined with direct market access has come to occupy over 50% of trading; while in the EU the amount of orders of high frequency trading using algorithms has reached 57%. Amid a mixture of positive and negative considerations of algorithmic trading, on 6 May 2010 there was the “flash crash” incident when the Dow Jones index suffered a temporary drop of 1,000 points. Accordingly, each country should find ways to minimize the side effects of algorithmic trading. In case of the EU, it is also working to prevent potential problems through enactment of MiFID II. Therefore, this paper suggests the implications for Korea after analyzing the MiFID II of the EU. From a legal viewpoint, it is suggested ① the preparation of definitions of regulations of the capital market act, ②the introduction of regulations related to single location of server support services (co-location), ③the introduction of circuit breakers for algorithmic trading, ④the study of preventive measures against unfair trading from manipulation, etc. of algorithms, and ⑤the introduction of regulations and building of a monitoring system for direct electronic access (DEA) and sponsored access (SA). Also additional suggestions are made for consideration of a related supervisory system.

알고리즘 거래가 금융투자업과 금융거래 전반에 영향을 미치고 있고, 금융규제의 패러다임 변화로 이어지고 있다. 미국의 경우 2010년 5월 6일 발생한 flash crash가 금융규제 패러다임의 변화에 있어 중요한 변곡점이 되었으며, 이후 미국은 물론이고 EU와 일본 등 금융시장이 발달한 국가들을 중심으로 알고리즘 거래에 대한 새로운 입법과 그에 대한 연구가 이루어졌다. 하지만 우리나라는 flash crash와 같은 사건을 직접 경험하지 아니한 영향인지 알고리즘 거래와 관련한 법적 규제나 그에 관한 연구가 활발히 이루어져 왔다고 평가하기는 어렵다. 그러나 알고리즘 거래와 고빈도거래로의 금융시장의 중심 이동은 이미 진행 중이고, 이러한 불가역적인 변화의 흐름은 인간의 수동거래를 전제로 체계화되어 있는 기존 규제체계가 향후에도 그대로 적용될 수 있는 것인지에 대한 근본적인 질문을 던진다. 또한 현재의 규제체계가 자동화된 거래에 있어 flash crash와 같은 시장붕괴 위험을 효과적으로 막아내고 시장의 안정성을 지킬 수 있는지, 알고리즘 거래에 투자하는 투자자 보호를 위하여 어떠한 금융투자업자 규제가 필요한지, 알고리즘 거래를 통한 불공정거래에 대해 어떻게 대응하여야 할지 등 법적 규제 측면에 있어 다양한 문제를 제기하고 있다. 본고는 그와 같은 문제의식에서 출발하여, 알고리즘 거래의 법적 규제에 대해 우선 알고리즘 거래와 그에 대한 법적 규제를 개관하고, 법적 규제를 시장안정성 규제, 금융투자업자 규제 및 불공정거래 규제의 세 가지 측면으로 나누어 연구, 고찰하였다.

Algorithmic trading is increasingly influencing both the financial investment industry and financial transactions more broadly, prompting a paradigm shift in financial regulation. In the United States, the “flash crash” of May 6, 2010, marked a critical turning point in regulatory thinking, leading to new legislative and academic attention to algorithmic trading not only in the U.S., but also in advanced financial markets such as the EU and Japan. In contrast, South Korea, having not experienced a comparable market disruption, has seen relatively limited legal and academic engagement with the regulation of algorithmic trading. Nevertheless, the ongoing and irreversible shift toward algorithmic and high-frequency trading raises fundamental questions about the continued relevance of existing regulatory frameworks, which were originally designed under the assumption of human-mediated trading. This shift also presents legal and regulatory challenges, such as whether current rules can effectively prevent market crashes like the flash crash, how investor protection should be ensured in the context of automated trading, and what regulatory responses are necessary to address unfair trading practices facilitated by algorithms. Against this backdrop, this paper provides an overview of algorithmic trading and its legal regulation, and analyzes the regulatory framework from three key perspectives: market stability, investor protection through regulation of financial investment service providers, and the regulation of unfair trading practices.

한국 알고리즘 트레이딩 규제의 기술혁신 및 안정성의 균형점 모색- Kingdon의 다중흐름모형을 중심으로 -

본 연구는 한국 알고리즘 트레이딩 규제를 대상으로, 기술혁신 촉진과 시장 안정성 확보라 는 상충 목표가 어떠한 조건에서 조정・결합될 수 있는지를 Kingdon의 다중흐름모형으로 분 석하였다. 알고리즘 트레이딩 실무 종사자의 규제 경험을 서면 전문가 그룹 인터뷰로 수집・ 분석한 결과, 문제의 흐름에서는 급변동장에서의 시스템 장애와 규제 기준 오탐, 기준 비공개 로 인한 예측가능성 저하가, 정치의 흐름에서는 투자자 보호・시장 안정성 요구와 개인정보보 호법 등 기존 법・제도 체계가 만드는 긴장이, 정책의 흐름에서는 사전통제 고도화, 규제 기준 명확화, 위험기반 차등규제, 기술 표준화, AI 기반 시장감시 고도화 등 대안의 병렬적 경쟁이 핵심 양상으로 나타났다. 특히 AI 기반 시장감시는 유력한 정책대안으로 부상하였으나, 설명 가능성 확보와 책임소재 명확화가 전제되어야 제도화가 가능하다는 조건부 수용 논리가 확 인되었다. 종합적으로 본 연구는 한국 알고리즘 트레이딩 규제의 변화 가능성이 단일 규제 수 단이 아니라 공개 범위 설계, 레짐별 기준 보정, 사전통제 체계, 설명가능한 AI 감시, 위험기반 내부통제 재설계가 결합된 정책 패키지를 통해 형성될 수 있음을 보여준다.

This study analyzes how the competing objectives of promoting technological innovation and ensuring market stability can be reconciled in the regulation of algorithmic trading in Korea, using Kingdon’s Multiple Streams Framework as the analytical lens. Drawing on qualitative data from written expert group interviews with algorithmic trading practitioners, the study finds that, in the problem stream, repeated system failures during periods of extreme volatility, false positives in regulatory detection, and reduced predictability due to non-disclosure of thresholds are recognized as key issues, while in the politics stream, social demands for investor protection and market stability coexist with structural tensions created by existing legal and institutional frameworks such as personal data protection laws, and in the policy stream, a variety of policy alternatives, including enhanced ex ante controls, clearer regulatory criteria, risk-based differentiated regulation, technical standardization, and AI-based market surveillance, emerge and compete in parallel. AI-based surveillance appears as a promising policy option; however, a conditional acceptance logic is evident in that institutionalization is deemed possible only when explainability and clear allocation of responsibility are secured. Overall, the study suggests that regulatory change in algorithmic trading is more likely to occur not through a single regulatory measure but through a policy package that combines disclosure design, regime-specific calibration of thresholds, ex ante control systems, explainable AI surveillance, and risk-based internal governance.
