Unlike the sale of manufactured goods, commodity trading has a long history and is dominated by a small number of traders, making it difficult for outsiders to commodity trade. One such unique practice in commodity trade is string sales. The string sales refer to a form in which two or more contracts are linked to one cargo and the transactions are made on substantially the same specification, quantity and condition except for the price. Current Incoterms 2010 is attempting to apply Incoterms to the sale of commodities. However, the sale of commodities is an area of English law and customs dominated by GAFTA and FOSFA rather than Incoterms. In addition, these association contracts explicitly exclude Incoterms and CISG. Under this kind of situations, this study examines that Incoterms can replace the English Law as a law for commodity trade and Incoterms can be a unified rule through verifying the structure and characteristics of string sales, which are a unique structure of commodities. Finally, this study suggested the reasons why Incoterms is difficult to replace the English law designed by the commodity trading and what needs to be supplemented to overcome the limitations for Incoterms.

전세계 화물은 크게 제조품(manufactured goods)과 일차산품(commodity)으로 대별되며, 일차산품매매는 독특한 관행인 연속매매에 의해 거래된다. 일차산품매매의 준거법으로는 주로 영국법이 사용되며, GAFTA나 FOSFA와 같은 국제일차산품 협회들은 일차산품의 거래형태에 따라 다양한 종류의 표준화된 계약서를 제공하여 실질적인 일차산품매매시장을 규율하고 있다. 이러한 상황에서 국제적인 통일매매규범의 역할을 하고 있는 국제물품매매계약에 관한 UN 협약과 인코텀즈가 일차산품매매에 대한 적용을 확대하고자 노력을 계속하고 있다. 일차산품을 규율하기 위해 인코텀즈 2010은 연속매매라는 규정을 신설하였고, 물품을 선적할 의무 대신 ‘선적된 물품을 조달’할 의무를 명시적으로 규정하여 연속매매관행을 수용하고 있다. 이러한 배경 하에 본 연구는 일차산품매매규범으로서 인코텀즈의 기능과 한계에 대해 규명하고자 한다.
