When an American system is introduced into an emerging market, both inertia and outside pressure for this system exist, especially in the beginning stage. In the later stage, the firm's resources and capability to accept this system is critical in implementing the system effectively. We assume the same situation in the introduction of the outside directors in Korea. Because the outside director is imported from America, and inasmuch as Korea and America have different business environments and company systems, we hypothesized the existence of inertia in Korean companies against governance reform or outside director introduction and, at the same time, the existence of institutional pressure to promote it.

미국식 경영시스템이 신흥시장의 기업에 도입되는 경우, 특히 도입초기에는 경영층의 저항과 제도적 압력을 동시에 인식할 수 있다. 그리고 도입 후 시간이 흐를수록 이 시스템을 효율적으로 시행할 수 있는 적절한 자원과 능력이 개발되는 것이 필요하다. 본 논문에서는 이러한 내용을 한국기업에 사외이사제도의 도입에 적용하였다. 미국에서 발달한 사외이사제도가 경제적 환경과 기업특성이 다른 한국에 도입되는 경우, 한국 기업의 내에는 이러한 새로운 제도의 도입에 반대하는 저항이 존재할 것으로 가정하였다. 또한, 동시에 이러한 제도를 강요하는 외부로부터의 제도적 압력이 작용할 것으로 설명하였다.
