Against the backdrop of rapid digital economy growth, Chinese internet enterprises have widely adopted the Variable Interest Entity (VIE) structure to achieve cross-border financing and overseas listings. However, the separation of ownership and control, as well as the ambiguous legal validity of contractual arrangements, has posed significant challenges to China’s antitrust regulation in merger control. This study examines antitrust regulation of mergers under the VIE structure in China, tracing its institutional origins and features while analyzing deficiencies in current practice. These include the lack of explicit recognition of the VIE’s legal validity, reliance on a single turnover-based filing threshold, outdated methods of competitive effects assessment, insufficient transparency in enforcement, and overly general penalty mechanisms. Drawing on regulatory experiences from the United States and the European Union, the paper proposes improvements such as clarifying the validity of contractual control, adopting a dual filing standard combining turnover and transaction value, shifting from rigid market definition to effects-based analysis, enhancing transparency in decision-making, and refining penalty rules. The findings indicate that establishing clear rules for VIE-based mergers and strengthening procedural transparency would significantly enhance the effectiveness of China’s antitrust regulation in the internet sector. Theoretically, this research contributes to the literature on merger control in the digital economy, while practically, it offers policy recommendations to safeguard fair competition and improve governance of China’s digital markets.

정보기술(IT)의 급속한 성장 속에서 중국 인터넷 기업들은 국경 간 자금 조달과 해외 상장을 위해 변동지분실체(Variable Interest Entity, VIE) 구조를 광범위하게 활용 해 왔다. 동 구조는 투자와 관련한 중국의 규제를 피하며 해외에 상장할 수 있는 수단 으로 알리바바 그룹 등 IT 기업의 상장에 널리 사용되고 있다. 하지만 소유와 지배의 분리, 지분출자가 아닌 계약을 통한 지배력 확보 등 법적 효력에 대한 불명확성이 있을 뿐 아니라 중국내 경제력 집중으로 인해 독점 규제에 논의가 제기되고 있다. 본 연구에서는 중국의 VIE 구조 하에서 이루어지는 경제력 집중과 그로 인한 경쟁제 한 등의 문제에 대하여 논의하고자 한다. 이를 위해 VIE 구조의 제도적 기원과 구조적 특징을 추적하고, 현행 제도의 한계를 검토하였다. 주요 문제점으로는 VIE의 법적 타당성에 대한 명시적인 인식 부족, 단일 매출 기반 신고 기준에 대한 의존도, 낡은 경쟁 효과 평가 방법, 집행의 투명성 부족, 지나치게 일반적인 처벌 메커니즘 등이 지적된다. 이에 본 논문은 미국과 유럽연합의 규제 사례 등을 참조하여 개선 방안을 제시하고자 하였다. 구체적으로는 계약 통제의 법적 효력을 명확히 하고, 매출액과 거래 가치를 결합한 이중 신고 기준을 도입하며, 경직된 시장 획정보다 효과 중심 분석으로의 전환, 의사결정 과정의 투명성 강화, 제재 규정의 정교화 등을 제안한다. 최종적으로 VIE 구조를 활용한 경영자 집중에 대해 명확한 규칙을 마련하고 절차적 투명성을 제고하는 것이 중국 인터넷 분야의 독점으로 인한 경쟁제한 규제의 실효성 을 크게 높일 수 있음을 확인하였다. 이러한 논의들을 통하여 이론적으로 디지털 경제 하 경영자 집중 규제에 관한 학문 적 논의를 심화시키고, 실무적으로는 공정 경쟁질서 확립과 중국 디지털 시장의 거버 넌스 개선을 위한 정책적 함의를 제공할 수 있기를 기대한다. 아울러 한국에는 다소생소한 제도를 소개함으로 한국주식시장에 상장하려는 국제금융거래시 관련자들에 게 시사점을 줄 수 있을 것이다.
