상장 기업의 인수방지 조치에 대한 일련의 인수방지 조치 중 이사회가 행사 하는 인수방지 권한은 많은 질문에 직면하고 있다. 본 논문은 중국 이사회의 현재 상황을 검토하고 이사회와 주주총회 양자 간 분권의 기초위에 기업지배 구조에 대한 이사회 인수방지권한의 근원 및 속성에 관하여 살펴본다. 더불어 주주총회의 고유권리의 확립과 중소 주주이익보호의 기초위에 이사회의 인수 방지활동 영역의 한계와 주주총회의 권리 행사과정 중의 신탁의무, 방어원칙, 회사이익 극대화 원칙 진행상의 한계, 주주총회의 인수방지조치에 대한 법률상 규제에 관하여 살펴본다.

In a series of activities regarding anti-takeover activities of listed companies, it is cast in doubt that the legitimacy of the expansion of anti-takeover authority exercised by the board of directors (BOD). After researching practices of such authorities in China, this article focuses on analyzing the source and attributes of BOD’s anti-takeover authorities in two ways: the fundamental power arrangement between board of directors and shareholders' meeting, and options of corporate management structure. To regulate the anti-takeover activities of the board of directors, this study intends to provide a constructive mechanism: limiting the scope of BOD’s anti-takeover activities by the inherent powers of the shareholders' meeting and the protection of minority shareholders, and restricting the BOD’s discretion by the principles of fiduciary duty, proportional defense and maximization of corporate interests.

在上市公司反收购的一系列反收购措施中，由董事会行使的反收购职 权扩大化面临着多方质疑. 本文考察了董事会职权在中国的实践现状，试 图从董事会与股东大会分权的基础结构与公司治理结构的选择来分析董 事会反收购职权的来源及其属性，以股东会的固有权利的确立和中小股 东利益保护为基础勾勒出章程授权董事会进行反收购活动的边界，同时 在董事会在行使职权的过程中应以信义义务、防御适当原则、公司利益 最大化原则进行限制，为法律对董事会反收购行为进行全面规制提供参考. 주제어 / 关键词/ Key Words 인수방지, 이사회권한,
